MAS Licensed Fund Management Company (LFMC) — Documents required and templates
A MAS Licensed Fund Management Company (LFMC) is a Capital Markets Services licence holder authorised to conduct fund management in Singapore. A MAS Licensed Fund Management Company is divided into a retail LFMC, which may serve all investor types, and an accredited/institutional LFMC, which may serve only qualified investors — each carrying different capital, competency and compliance obligations set by the Monetary Authority of Singapore.

What a MAS Licensed Fund Management Company is
Fund management is a regulated activity under the Securities and Futures Act 2001, and section 82 of that Act establishes that carrying on the business requires authorisation. An LFMC holds a Capital Markets Services licence specifically for fund management. There are two principal categories: the Retail LFMC, permitted to manage funds for retail investors, and the Accredited/Institutional LFMC (A/I LFMC), restricted to accredited and institutional investors as defined in the Act.
Managers running pooled vehicles often adopt a VCC; the VCC Act 2018 permissible fund manager rules explain which managers a VCC may appoint. Firms building a Singapore presence should also review Pte Ltd registration for foreigners.
Who it is for
The LFMC route suits managers with a genuine Singapore team and a durable business, as distinct from the exempt or streamlined regimes intended for smaller or migrating managers. Retail LFMC status is for those marketing to the public; the A/I LFMC is the common choice for boutiques and family-linked managers serving sophisticated investors only.
Eligibility and requirements
MAS assesses the applicant’s shareholders, directors and representatives for fitness and propriety, the group’s track record, capital adequacy and a proportionate compliance framework. An A/I LFMC must maintain base capital of at least S$250,000 and employ a minimum of two full-time Singapore-resident professionals in relevant roles, with directors and representatives meeting competency requirements. A Retail LFMC faces a higher base-capital floor (commonly S$500,000 to S$1,000,000 depending on activities) and additional independent-oversight and custody expectations.
Cost and timeline
Budget S$250,000 base capital for an A/I LFMC and materially more for retail, plus professional-indemnity insurance and working capital. Application preparation fees typically run S$20,000 to S$50,000. From a complete submission, an A/I LFMC application often takes about 4 months and a Retail LFMC 6 to 9 months, subject to MAS queries.
Step-by-step process
The path is: incorporate the company; assemble the team and compliance function; prepare the business plan, compliance manual, risk-management framework and the CMS application; submit to MAS; respond to queries; and satisfy post-approval conditions such as capital confirmation and insurance before launch. Our related note at the RFMC sunset and migration guide is relevant if you are moving from the older Registered FMC regime.
Common mistakes and gotchas
Common failures include treating the two-professional minimum as nominal rather than substantive, weak segregation between front office and compliance, unclear custody arrangements for retail funds, and inadequate ongoing risk-based capital. Marketing to investors outside the licensed category — for example, an A/I LFMC accepting retail money — is a serious breach.
