Your Payment Processor Holds a Rolling Reserve: Track the Balance and Release Conditions

Laptop and calculator on a work desk

If a payment processor retains a rolling reserve, keep the withheld balance visible and review the release terms before treating it as cash available to spend. A reserve is not automatically a fee, a loss or an immediately recoverable amount. Reconcile the contract, processor statements, chargebacks and accounting treatment for your company’s actual arrangement.

Understand why the amount is held

Read the merchant agreement, reserve notice and amendments. Identify the percentage or amount retained, how long it may be held, release conditions and rights to apply it against claims.

A generic explanation from another merchant may not match your agreement. Ask the processor for clarification where its statement is unclear.

Example: sales stop but the reserve remains

The company changes processor and expects its entire balance immediately. The old provider continues holding funds against potential chargebacks under the stated arrangement. Finance should show the unresolved balance and expected timing without pretending the cash has arrived.

Prepare a reserve movement schedule

Movement Supporting evidence
Opening reserve Prior statement and reconciled ledger.
New amounts retained Settlement report and applicable calculation.
Deductions Actual chargeback, fee or other permitted use.
Releases Processor confirmation and bank receipt.
Closing balance Reconciled amount and unresolved differences.

Do not count the same held balance as both a bank receipt and an outstanding processor balance.

Review classification and recoverability

Give the accountant the actual contractual entitlement and statements. Ask about the appropriate classification, expected release and any evidence affecting recovery. A balance being delayed is not proof it is irrecoverable, while an optimistic expected date is not proof of full recovery.

ACRA’s director-duty guidance emphasises proper accounting records. Keep the reconciliation traceable rather than using an unexplained balancing entry.

Keep the cash forecast separate

Model releases using supportable assumptions and identify uncertainty. Review upcoming refunds, chargebacks and obligations that may affect available funds.

Where the entitlement or deduction is disputed, preserve correspondence and seek contractual advice. Do not describe a disagreement as theft without a verified basis.

Should every retained amount be expensed as a fee?

No. Establish what the amount represents and obtain an accounting assessment.

Can the forecast treat the reserve as cleared bank cash?

No. Identify actual access and release conditions.
