VCC Directors and Key Officers: Who You Actually Need to Appoint

Colleagues discussing documents in a meeting

Every Singapore VCC must appoint at least one qualifying director, one company secretary, one permissible fund manager and one auditor. A VCC with an authorised scheme needs at least three directors, one of whom must be independent. The secretary deadline is six months from incorporation; the auditor deadline is three months.

Those four roles are not interchangeable and they are not all filled at the same time. The fund manager has to exist before you can register at all. The director has to satisfy a residency test and a fit and proper test. The secretary and auditor have statutory clocks that start ticking on the day of incorporation and that nobody reminds you about.

Here is what each role requires, who can lawfully hold it, and where the appointments go wrong in practice.

The four mandatory roles at a glance

Role Minimum number Deadline Key constraint
Director One (three for a VCC with an authorised scheme, one independent) At incorporation Ordinarily resident, fit and proper, and either a qualified representative or a director of the fund manager
Company secretary One Within six months of incorporation Natural person, ordinarily resident, cannot be the sole director
Fund manager One Before registration Must be a permissible fund manager under the framework
Auditor One Within three months of incorporation No small company audit exemption available
Managing director Optional N/A Must also be a director of the VCC

Directors

The directors run the VCC and owe their duties to it. The Variable Capital Companies Act 2018 takes the definition of “director” straight from section 4(1) of the Companies Act 1967, so the familiar Singapore director duties and the familiar exposure travel across intact. Anyone who has served on a Singapore company board will recognise the territory, and can use our Companies Act 1967 deep-dive FAQ as a refresher.

Personal requirements

A VCC director must be 18 or above, mentally capable of making decisions, and neither an undischarged bankrupt nor disqualified from acting as a director. That last limb is broader than people expect: disqualification can follow from convictions, from repeated filing defaults, and from the newer money laundering grounds covered in our note on ACRA’s amended Form 45.

Residency

At least one director must be ordinarily resident in Singapore. In practice that means a Singapore citizen, a Singapore permanent resident, an EntrePass holder, or an Employment Pass holder.

The Employment Pass route carries a condition people miss. An EP holder taking a directorship outside their sponsoring employer needs a Letter of Consent from the Ministry of Manpower first. Accepting the appointment and applying afterwards is the wrong order, and the consequence lands on the pass holder rather than on the VCC. Anyone holding a Foreign Identification Number on any other pass type should confirm with the pass issuer, whether that is the Ministry of Manpower or the Immigration and Checkpoints Authority, before saying yes.

The qualification that is unique to VCCs

This is the requirement that surprises company directors coming from the ordinary corporate world. A VCC director must also be either:

The Act defines “qualified representative” in section 2 as a representative of the manager within the meaning of the Securities and Futures Act 2001 who falls within section 99B(1)(a) to (d) of that Act, or who is exempt from section 99B(1) under section 99B(2). In plain terms, the board cannot be staffed entirely with people who have no connection to, and no regulatory standing within, the regulated manager. Our Securities and Futures Act chapter explainers unpack the representative regime if you need the detail.

One person can satisfy both the residency limb and the qualification limb. Often they do, and often they are the manager’s Singapore-based chief executive or chief investment officer.

Every director must also be a fit and proper person as defined in the Variable Capital Companies Regulations 2020. That is a character and competence standard, assessed on the whole picture rather than on a checklist.

When three directors are required

A VCC that offers an authorised scheme, that is a scheme authorised under section 286 of the Securities and Futures Act 2001, must have at least three directors, and at least one of them must be independent. Independence here is doing retail investor protection work: an authorised scheme can be offered to the public, and the framework wants someone on the board whose judgement is not the manager’s judgement.

If your fund is restricted to accredited and institutional investors, this does not apply to you. If you are contemplating a retail offering, plan the board a long time before the offer documents are drafted.

Company secretary

Every VCC must have a company secretary, and the appointment must be made within six months of incorporation. Requirements:

  1. A natural person. A corporate secretarial firm may provide the service, but a named individual holds the office.
  2. Ordinarily resident in Singapore.
  3. Not the same person as the sole director. If there is only one director, someone else is the secretary.
  4. Meeting the secretary requirements set out in the Variable Capital Companies Regulations 2020.

If the office falls vacant, you have six months to fill it. That is a genuine grace period, not a licence to leave it empty. A VCC without a secretary drifts on registers, resolutions and filings, and the drift is only visible once something goes wrong.

Note the asymmetry with the auditor. Six months for the secretary, three months for the auditor. People assume both are six and then discover the audit appointment is already late.

Fund manager

This is the role that determines whether the VCC can exist at all. Every VCC must appoint one permissible fund manager, and the Registrar maintains a register of managers under section 71(3) of the Variable Capital Companies Act 2018.

Three categories qualify:

Type of permissible fund manager What it must hold
Licensed fund management company A capital markets services licence for fund management under the Securities and Futures Act 2001
Registered fund management company Registration under paragraph 5(1)(i) of the Second Schedule to the Securities and Futures (Licensing and Conduct of Business) Regulations
Exempt financial institution An exemption under section 99(1)(a), (b), (c) or (d) of the Securities and Futures Act 2001 from the requirement to hold a capital markets services licence for fund management. This covers banks licensed under the Banking Act 1970, merchant banks approved under the Monetary Authority of Singapore Act 1970, finance companies licensed under the Finance Companies Act 1967, and insurers licensed under the Insurance Act 1966

A self-managed VCC is not an option. If you do not have a manager in one of these categories, the first project is a Monetary Authority of Singapore application, not an ACRA filing. Start with our explainers on the Licensed Fund Management Company regime and the Capital Markets Services licence, and expect that timeline to dominate the project plan.

The manager also carries the anti-money laundering weight. Every VCC must engage an eligible financial institution to perform its anti-money laundering and countering the financing of terrorism obligations under the Monetary Authority of Singapore’s notice for VCCs, published at mas.gov.sg. In the great majority of structures, the manager is that institution.

Auditor

Every VCC must appoint at least one auditor within three months of incorporation, and the auditor must be a public accountant.

There is no way around the audit. The small company and dormant company exemptions in sections 205B and 205C of the Companies Act 1967 are not extended to VCCs. It does not matter that the fund has not launched, has no investors yet, or holds nothing but seed capital. If it is registered, it is audited.

For an umbrella VCC, the audit has to be capable of supporting the segregation between sub-funds. That means the allocation of income, expenses, assets and liabilities across sub-funds needs to be documented from day one, not reconstructed at year end. The same discipline is what makes a later sub-fund wind-up or dissolution straightforward rather than contentious, and it is the discipline the Monetary Authority of Singapore’s valuation and risk management expectations increasingly assume.

Managing director

Optional. If you appoint one, they must also be a director of the VCC. You cannot bring in an external chief executive, call them the managing director, and leave them off the board.

What goes wrong

The EP director who never obtained a Letter of Consent. The appointment is filed, the pass holder is now a director, and the consent was never applied for. This is a Ministry of Manpower problem with the individual’s pass, and it surfaces at the worst possible time, usually a renewal.

The board that does not meet the qualification limb. Two respected independent non-executives and no qualified representative or manager director is not a compliant VCC board, however good the people are. Check the composition against the manager relationship before the constitution is finalised.

The three-month audit deadline missed while the fund is still “pre-launch”. The clock runs from incorporation, not from first close. Appointing the auditor early costs almost nothing and avoids a default that will be visible to every investor doing diligence.

Officer changes filed late. Resignations and appointments have to be lodged, and the Registrar’s registers of directors, secretaries and auditors are maintained under section 173 of the Companies Act 1967 as applied by section 71(1) of the Variable Capital Companies Act 2018. A director who has resigned but whose resignation was never filed is still on the public record, still being relied on by counterparties, and still exposed. Our note on the trapped nominee director problem shows how bad that can get.

Frequently asked questions

Can one person hold every VCC role?
No. A sole director cannot also be the company secretary, and the fund manager must be a separate regulated entity rather than an individual. One person can be a director, a qualified representative and a director of the manager at the same time, which is why small VCCs often look thinner on paper than they are.

Does a VCC director have to be a Singapore citizen?
No. The test is ordinary residence, which a Singapore permanent resident, an EntrePass holder or an Employment Pass holder can satisfy. Employment Pass holders need a Letter of Consent from the Ministry of Manpower before taking up a directorship outside their sponsoring employer.

Can a corporate entity be the company secretary of a VCC?
No. The secretary must be a natural person who is ordinarily resident in Singapore. A corporate secretarial firm can provide the service, but an individual within that firm holds the statutory office and carries the responsibility that goes with it.

When exactly does the auditor have to be appointed?
Within three months of the date of incorporation. There is no exemption for small, dormant or pre-launch VCCs, because the Companies Act audit exemptions are not extended to this structure. The safest practice is to appoint the auditor in the same board resolution that follows incorporation.

What happens if the company secretary resigns?
The office must be filled within six months. During that window the VCC still has to make its filings and keep its registers current, so the practical answer is to replace the secretary immediately rather than treating six months as available time.

Do these officers need to be in place before I reserve the name?
Yes, in substance. The name application asks for the details of each proposed director and officer, including identification and nationality. Settle the line-up before you file, or you will be reserving a name you cannot yet use.

Getting the line-up right the first time

The officer requirements for a VCC look like a checklist and behave like a dependency chain. The manager determines who can be a director. The number of directors depends on whether the scheme is authorised. The secretary cannot be the sole director. The auditor cannot wait.

Work backwards from the fund manager and most of the rest resolves itself. If you are still deciding whether the structure fits at all, start with VCC key features and eligibility requirements and the overview on what a VCC is and who it suits. When the board is settled, the next step is reserving the name, and then registering the VCC itself.
