The VCC Registration & Filing Portal is ACRA’s dedicated online system for Variable Capital Companies, hosted at vcc.bizfile.gov.sg. It has run separately from the main Bizfile platform since it launched on 1 February 2021, and every VCC transaction, from reserving a name through to closing a sub-fund, goes through it rather than through Bizfile.
Raffles Corporate Services works with a panel of experienced Singapore law firms who offer cost-effective and efficient legal service and advice. This article is general information only and is not legal advice.
That separation surprises people who already run an ordinary Singapore company and assume the VCC will simply appear as another entity in their existing Bizfile account. It will not. A VCC is a distinct type of body corporate, built around features (a Permissible Fund Manager, one or more sub-funds, segregated assets and liabilities) that Bizfile’s data model was never built to hold, so ACRA gave it its own portal instead of bolting it onto Bizfile.
What the portal actually is
The portal is a standalone eServices system for the VCC register, distinct from Bizfile in the same way that the Bizfile system itself is distinct from, say, the Intellectual Property Office of Singapore’s filing system. It carries ACRA branding and government styling consistent with Bizfile, and it uses the same underlying Singpass and Corppass digital identity infrastructure, but it is a different application with its own login screen, its own dashboard, and its own transaction list.
Beyond filing, the portal also runs a directory search that anyone can use to look up a registered VCC and its sub-funds, which is worth using before paying for an information product if all you need is to confirm a UEN or a sub-fund’s status.
Who can access it
Access runs through the same two credentials that govern most Singapore government digital services, but the sequence matters:
- Singpass, for an individual acting in a personal capacity. This is how a proposed director or subscriber files a VCC name application or incorporation before the entity exists, since there is no UEN yet for Corppass to attach to.
- Corppass, for an authorised representative filing on behalf of an existing VCC. Corppass access to a VCC can only be set up after the VCC has a UEN, which means after incorporation.
Corporate service providers that act for VCCs typically hold Corppass access as an authorised filing agent, which is how most umbrella VCC administration is actually done in practice rather than by an individual director logging in each time.
Getting access, in order
- Reserve the VCC name and file the incorporation using an individual Singpass login, since the entity does not exist yet.
- Once incorporated, obtain the VCC’s UEN from the acknowledgement.
- Set up Corppass access for the VCC at corppass.gov.sg, nominating the individuals or the corporate service provider who will file on the VCC’s behalf.
- Log in to the portal going forward using Corppass for ongoing filings, reserving Singpass logins for matters that are inherently personal, such as a new director’s own consent.
- Use the portal’s directory search, rather than a paid information product, for quick status checks that do not require a certified extract.
What you can actually do on the portal
The four categories ACRA highlights
| Category | What it covers |
|---|---|
| Set up a VCC | Reserve a VCC name and file the incorporation application |
| Update VCC information and officers | Change registered particulars, appoint or cease officers, managers and auditors |
| Buy VCC information and certificates | Business Profile, People Profile, extracts, certificates and registers for a VCC |
| Register a charge | Register, vary or satisfy a charge over a VCC’s assets, within the applicable statutory window |
The full transaction list runs further than that
In practice the portal handles a much longer list of specific transactions than the four headline categories suggest, including registering and dissolving individual sub-funds, filing the annual return, changing the financial year end, applying for extensions of time around AGMs and annual returns, and the closing transactions: striking off a VCC, dissolving a sub-fund, lodging or clearing an objection to either, and withdrawing an application that is no longer needed. Our guides to VCC prescribed forms and closing a VCC sub-fund go through the closing and forms side of that list in detail.
One area sits outside the main transaction dashboard entirely: winding up and receivership. Those matters are handled through a separate e-forms area of the same site rather than the standard “My VCC List” dashboard, which catches out filers who go looking for a winding-up transaction in the wrong place.
How the VCC portal differs from Bizfile
| VCC portal | Bizfile | |
|---|---|---|
| Covers | Variable Capital Companies and their sub-funds only | Companies, LLPs, sole proprietorships, LPs and other registered entities |
| Address | vcc.bizfile.gov.sg | bizfile.gov.sg |
| Login | Singpass for individuals, Corppass for entity-level filing | Singpass for individuals, Corppass for entity-level filing |
| Register of members | Not applicable in the same form; VCC shareholding sits within the sub-fund and constitution framework | Registrar’s electronic register is the legal register of members for a private company |
| Distinctive filings | Sub-fund registration and dissolution, Permissible Fund Manager records, charge registration on VCC-specific timelines | Annual returns, officer and shareholder changes, striking off, standard charge registration |
| Free registers | VCC information products are bought through the VCC portal’s own Buy Information section | Officers and members can download several company registers free of charge as covered elsewhere in this series for ordinary companies |
If a group runs both an ordinary Singapore holding company and a VCC beneath it, expect to manage two separate logins and two separate transaction histories, not one consolidated view. Our note on setting up Corppass for a new Singapore company explains the general Corppass mechanics that apply to both systems, even though the portals themselves are not connected.
What goes wrong in practice
Someone looks for the VCC inside an existing Bizfile account. It is not there, and it will not appear there after incorporation either. The VCC exists only on the VCC portal, and a director who only ever logs into Bizfile for their other companies can genuinely lose track of a VCC’s filings as a result.
Corppass access is attempted before the VCC has a UEN. Corppass is entity-based, so there is nothing for it to attach to until incorporation is complete. The name application and incorporation itself have to go through an individual Singpass login first.
A foreign officer assumes they can file everything themselves. Where a proposed director or subscriber is a foreigner, ACRA requires a corporate service provider to handle the incorporation. Attempting to self-file in that situation will not get past the application stage.
Winding-up filings are searched for on the main dashboard. Because receivership and winding-up transactions sit in a separate e-forms area of the site, filers sometimes assume the portal simply does not support them, when the transaction is available but filed through a different entry point.
A paid information product is bought for something the directory search already shows. The free directory search will confirm a VCC or sub-fund’s registration status and UEN. Paying for a certified extract or Business Profile is only necessary where the output needs to be relied on as an official document, for a bank or another third party.
Frequently asked questions
What is the VCC Registration & Filing Portal?
It is ACRA’s dedicated online system for Variable Capital Companies, hosted at vcc.bizfile.gov.sg since it launched on 1 February 2021. Every VCC transaction, from name reservation through to winding up, is filed through this portal rather than through the main Bizfile platform used for ordinary companies.
How do I log in to the VCC portal?
Individuals log in with Singpass, which is required before a VCC exists to file the name application and incorporation. Once the VCC has a UEN, an authorised representative or corporate service provider can be granted Corppass access at corppass.gov.sg to file on the entity’s behalf going forward.
Can I use my Bizfile login for the VCC portal?
No. The two systems are separate, even though both rely on the same Singpass and Corppass infrastructure. A VCC will not appear inside your existing Bizfile account, and VCC transactions cannot be filed there.
What can I actually do on the VCC portal?
You can reserve a name and incorporate a VCC, register and dissolve sub-funds, update officer, manager and auditor particulars, file annual returns, register and manage charges, buy VCC information products, and handle striking off, dissolution and winding-up transactions, the last of these through a dedicated e-forms area.
Do I need a corporate service provider to use the VCC portal?
Not always, but often in practice. A corporate service provider is required where a proposed director or subscriber is a foreigner, and most umbrella VCC administration is handled by a corporate service provider holding Corppass access as an authorised filing agent rather than by individual directors logging in themselves.
Managing VCC filings without losing track of them
The VCC portal is straightforward once you know it exists as its own system. The friction usually comes from treating it as an extension of Bizfile, or from trying to set up entity-level access before the entity itself is on the register.
Raffles Corporate Services manages VCC portal filings as part of ongoing corporate secretarial support, from initial incorporation through sub-fund registrations, annual returns and eventual closure, so directors are not the ones tracking two separate government systems. If your VCC’s filings currently sit with whoever happened to set up the Corppass access, that is worth revisiting before it becomes a gap.
