Short answer: ACRA may strike off a Singapore company if it has stopped trading or never started business, owns nothing and owes nothing, has no unpaid debts or unresolved issues with any government agency, has no outstanding charges, is not involved in legal cases or regulatory action, and all or a majority of its directors agree. If any of these is not met, the company is not yet eligible and winding up may be the better route. Answer the questions below to see your blockers.
Frequently asked questions
How long does striking off take?
At least 3 months after ACRA approves the application. ACRA publishes a first Gazette notification, there is a 60 day period for objections, and the company is struck off when the final Gazette notification is published.
Is there a fee to strike off a company?
ACRA does not charge a fee for the striking off application, which is made through Bizfile. If filed by the company, all or a majority of the directors must endorse it within 14 days.
What if the company still has assets or debts?
It does not meet the criteria. Settle debts and deal with assets first, or consider winding up: a members' voluntary winding up if the directors believe the company can pay all its debts within 12 months, or a creditors' voluntary winding up if it cannot.
Can a struck-off company be restored?
Yes, within 6 years, by obtaining a court order and filing it with ACRA.
