You Paid a Secretarial Provider but No Secretary Is Appointed: Check the Company Record

Calculator and financial papers in a folder

Paying a corporate secretarial provider does not, by itself, establish that an individual has been appointed as company secretary. Check the engagement and the company’s actual officer record.

Separate the provider’s commercial services from the personal office and its appointment requirements.

Identify the intended secretary

Ask who is to hold the office, whether they have agreed to act and what appointment process was completed. Review the company’s constitution, consent and relevant resolution or decision.

A staff contact handling emails is not necessarily the appointed officer. Likewise, a firm name on an invoice should not be assumed to identify the individual secretary.

Check timing against the company’s history

ACRA’s officer guidance states that a secretary must be appointed within six months of incorporation and that the position cannot remain vacant for more than six months. Review the actual incorporation or vacancy date.

Do not treat the purchase date of a service package as the appointment date without evidence.

Example: onboarding was never completed

A founder pays the provider, but identity checks and appointment documents remain outstanding. Request a precise status update. Resolve the missing steps rather than marking the office as filled because an invoice was settled.

Prepare the appointment reconciliation

If the current record differs from the intended position, investigate before filing a correction. Do not backdate consent or recycle another person’s signature.

Clarify ongoing responsibilities

Agree who maintains registers, manages reminders, prepares documents and obtains approvals. Those work arrangements should support the officer’s actual role and the directors’ obligations.

Retain the engagement and appointment evidence together. If a provider change is disputed, obtain appropriate legal advice while keeping deadline responsibilities visible.

Is the account manager automatically the secretary?

No. Establish the actual appointment.

Can a receipt replace an appointment record?

No. It proves payment, not the corporate office.
