A Director’s Resignation Date Is Disputed: Preserve the Notice and Filing History

Two people reviewing documents at a table

When a resignation letter, company minutes and ACRA record show different dates, preserve the originals and investigate the sequence. Do not choose the date that produces the most convenient outcome.

The effective resignation and the date a filing was submitted are different facts. A late filing does not justify inventing an earlier notice or replacing genuine correspondence.

Create a dated evidence table

Record when the letter was signed, sent and received, its proposed effective date, relevant responses and the filing outcome. Retain delivery evidence and the constitution that applied at the time.

Identify whether an email contains an actual notice, a future intention or a request to negotiate departure. Those statements should not all be described as completed resignations.

Example: a proposed departure is later treated as final

A director asks to leave at the end of a month, but correspondence about a replacement continues. The company later files a different date. Advisers should review the notice and applicable requirements before treating either record as conclusive.

Check the resignation requirements

ACRA’s guidance requires compliance with the constitution and at least one ordinarily resident director remaining. The company should notify withdrawal within 14 days of resignation. The director can notify ACRA if the company does not do so.

Review those requirements against the board’s actual composition. An accountant’s assumption or a service contract expiry is not a substitute for assessing the resignation.

Separate the disputed consequences

A dispute about fees may require contractual advice even after the corporate record is corrected. Equally, payment of an invoice does not settle every question about the departure date.

Use a proper correction process

Give the company secretary an accurate chronology and obtain legal advice where effectiveness is contested. Review the appropriate official correction route, supporting evidence and notifications. Keep the original outcome and the corrected outcome in the file.

Do not overwrite a signed notice, backdate a resolution or suggest that a meeting occurred when it did not. If a bank or counterparty relied on the earlier information, address that separately.

Is the filing date necessarily the effective resignation date?

No. Review the underlying notice and requirements alongside the filing history.

Can the parties simply agree to erase the old documents?

Preserve the evidence. Resolve the discrepancy through accurate documentation and appropriate advice.
