A VCC changing its fund manager should plan the transition before terminating the existing arrangement. Review the proposed manager’s eligibility, relevant approvals and operating dependencies.

ACRA’s officer guidance requires a permissible fund manager. Use the actual current regulatory position and obtain specialist advice where eligibility is uncertain.
Map the proposed change
Identify the outgoing and incoming legal entities, effective date, affected funds and governing agreements. Check the proposed manager’s current permissions and service scope.
MAS’s fund-management licensing guidance should be reviewed for relevant regulated activities. A commercial proposal is not evidence of a granted licence or every necessary permission.
Example: investment access ends before handover
The old contract is due to terminate while the incoming manager’s account permissions and operational arrangements remain incomplete. Bring the gap to the board and advisers before assuming trading can continue unchanged.
Prepare the transition workstreams
- Governing-document and contractual requirements.
- Manager eligibility and relevant regulatory steps.
- Board, investor or other approvals where required.
- Bank, custodian and dealing access.
- Portfolio, records and reporting handover.
- Outstanding fees, liabilities and open matters.
Assign an owner and completion evidence to each. Do not use one “manager appointed” status to conceal unfinished dependencies.
Review communications and authority
Ask advisers what notifications are required and who may make them. Keep investor information accurate about the actual transition stage.
Review delegated authorities and signing instructions separately. Removing one provider’s commercial appointment does not prove its system access has been removed.
Close with reconciled records
Retain the final agreements, approvals, required official outcomes and handover inventory. Confirm responsibility for unresolved matters after the effective date.
Preserve historical records and investment decisions. A provider change should not result in losing the evidence needed for accounts, tax or investor questions.
Does signing a new contract complete the transition?
No. Verify the relevant corporate, regulatory and operating outcomes.
