Your VCC Sub-Fund Is Registered but Not Ready to Launch: Check the Remaining Gates

Singapore waterfront and business district

A registered VCC sub-fund may still have important launch work outstanding. Treat registration as a specific milestone, then review the documents and operational conditions needed for the proposed activity.

Do not tell investors that registration alone confirms every offering, tax or operating requirement.

Separate the launch workstreams

Identify the registered sub-fund, strategy, proposed investors, manager and service providers. Review the actual constitution and offering or subscription documents with specialist advisers.

ACRA’s VCC guidance identifies the structure and ongoing requirements. Fundraising and regulated-activity questions need their own assessment.

Example: a number is issued, the account is not ready

The sub-fund registration is complete, but banking and investor onboarding remain in progress. Do not route subscriptions through a founder’s personal account as an informal shortcut. Obtain advice on the proper process.

Prepare a launch evidence checklist

Record which items are approved, pending or conditional. A submitted application or unsigned draft should not appear as a completed launch gate.

Test the first transaction path

Walk through how an investor is verified, accepted and recorded, and how money is received and reconciled. Confirm that authorised people can retrieve the evidence.

Use the actual sub-fund in instructions and contracts. Avoid a generic umbrella label where specific identification is required.

Assign responsibility after launch

Agree the reporting calendar, approval process and escalation contacts. Review ACRA’s ongoing VCC requirements and relevant fund-specific obligations.

Keep the readiness decision and supporting documents so later staff can distinguish what was completed at launch from later changes.

Does registration prove an offering is authorised for every investor?

No. Obtain advice on the actual offering and applicable rules.
