A Family Fund Considers Moving from 13O to 13U: Prepare the Transition Chronology

Singapore waterfront and business district

A family fund considering 13U while an existing 13O award applies needs a documented transition plan. Map the current award, proposed vehicle or structure, required decisions and reporting periods before changing documents or filing assumptions.

The MAS fund-tax scheme guidance describes separate schemes and conditions. Do not assume that increasing assets or renaming a fund automatically converts its existing award.

Describe what is actually changing

Identify whether the proposal concerns only the incentive, a new vehicle, additional entities, a different manager or changes to ownership and assets. These are different matters. The transition plan should explain the proposed legal and operational arrangement.

Retrieve the existing approval and any amendments. Check which entity and period it covers. A headline description saying “the family office has 13O” can obscure the fund that actually holds the award.

Example: an additional vehicle joins the plan

A family intends to hold new investments through an additional company and assumes it can use the existing fund’s tax position. The adviser should identify whether the proposed structure and entities need separate assessment or approval, rather than treating group ownership as a complete answer.

Build a transition chronology

Label proposed dates as proposed until the necessary decisions and outcomes are obtained. Do not record an intended effective date as though MAS has approved it.

Review each transaction independently

A transfer of investments can have accounting, tax, stamp-duty or other consequences depending on the assets and jurisdictions. Review the actual transaction documents. The attraction of a new incentive does not remove those questions.

Ask legal advisers to assess corporate authority and contractual restrictions. Fund-manager mandates, bank arrangements and counterparty agreements may need attention alongside the tax application.

Keep the old and new reporting files distinct

Prepare separate schedules for income, expenses, assets and conditions relevant to each period and vehicle. Reconcile opening and closing balances. Avoid applying the expected new treatment to an earlier period without a supported basis.

Preserve the actual approval and correspondence. An application acknowledgement is not proof of a new award or the revocation or amendment of an existing one.

Assign responsibility for completion

Identify who coordinates the corporate documents, bank changes, accounting entries and official responses. Before implementation, the decision-makers should understand what is confirmed and what remains contingent.

After completion, reconcile the actual dates and outcomes to the plan. If a step occurred differently, update the reporting assessment rather than leaving the original proposed chronology as the only record.

Does crossing an asset threshold automatically change the scheme?

Do not assume that. Assess the requirements and obtain the relevant official outcome.

Should the old award be ignored while a new application is pending?

No. Review its continuing conditions and the actual transition position.
