A Family Fund Receives a Capital Call: Check the Notice Against Its Signed Commitment

Two people reviewing documents at a table

When a family fund receives a capital-call notice, match it to the signed investment commitment before paying. Check the investor entity, amount, due date and payment instructions, and investigate discrepancies promptly. A familiar manager name does not prove that every instruction in an email is correct.

A capital call draws on an investor’s agreed commitment under the applicable fund documents. The actual agreement determines the obligation and process; there is no universal notice period for every private investment.

Retrieve the executed commitment documents

Identify the subscription, partnership or other governing agreement, amendments and any relevant side letter. Confirm the legal investor and commitment currency. A family principal’s informal summary of the investment should not replace the signed terms.

Review the provisions governing drawdowns, permitted purposes, notice and default. Obtain legal advice where interpretation is uncertain, especially if payment is due soon.

Example: the notice names the wrong investor

A manager sends a notice to the family principal, but the actual subscription was made by a fund company. Finance should confirm the legal investor and obligation with the authorised contact. Payment from a convenient family account should not obscure which entity is meeting the commitment.

Reconcile the cumulative amounts

Check the manager’s figures against the company’s own records. Distinguish a legitimate contractual recall from an unexpected additional commitment. Do not assume every distribution reduces the amount that can be called later.

Verify the notice and bank details

Compare the sender and notice method with the agreed process. Confirm new or changed banking instructions through an independently established authorised contact. Do not rely on a telephone number supplied only in the same unexpected email.

Where relevant, review the manager’s regulatory status using the applicable official information. MAS’s fund-management licensing guidance explains the regulatory framework. A licensing check and authentication of a particular payment instruction are separate tasks.

Obtain the proper payment authority

Check who can approve the obligation and who can instruct the bank for the investor entity. Arrange the necessary approvals and funding in time. If the usual signatory is unavailable, use the lawful alternate process rather than sharing credentials or signing their name.

Consider the contract’s consequences of late or missing payment. A query about the notice should be raised promptly; do not assume simply sending a query suspends the deadline.

Keep the completion evidence

Retain the verified notice, reconciliation, approval, transfer record and manager’s allocation or confirmation. Reconcile the accounting entry to the actual investment. A payment instruction saved in draft form is not evidence the funds reached the correct recipient.

If the amount or beneficiary remains disputed, preserve the records and obtain urgent advice on the actual contractual position.

Can we rely on the notice without checking the commitment?

Match the notice to the actual signed terms and payment history.

Does an email query automatically extend the due date?

Do not assume it does. Check the agreement and any confirmed extension.
