Capital Call

A Capital Call—also known as a drawdown—is a formal request made by a private equity fund, venture capital fund, or other investment partnership for its investors (limited partners, or LPs) to contribute a portion of the money they previously committed.

When investors agree to back a fund, they don’t typically provide all the cash up front. Instead, they commit a certain amount of capital, which the fund manager (general partner, or GP) can request over time as investment opportunities arise. A capital call is the mechanism by which committed capital is collected.

How Capital Calls Work

1. Commitment Stage: An investor (LP) commits, for example, $5 million to a private equity fund.

2. Investment Opportunity: The fund identifies a company or asset to invest in.

3. Capital Call Notice: The GP issues a notice to the LPs, requesting a portion of their committed funds (e.g., 10% of their commitment).

4. Payment Deadline: LPs typically have 10–15 business days to transfer funds.

5. Ongoing Calls: Multiple capital calls may occur over the fund’s investment period (often 3–5 years).

Real-World Examples

Private Equity Funds

A fund may call 20% of its committed capital in year one to purchase a portfolio company, another 30% in year two for an add-on acquisition, and the remainder over subsequent years.

Case Study – Venture Capital

In 2020, many venture capital funds issued accelerated capital calls to ensure liquidity when markets grew uncertain during the COVID-19 crisis. Investors had to quickly free up cash to meet these obligations.

Why Business Owners Should Care

For business owners raising money from private equity or venture capital, understanding capital calls is critical. It explains how and when funds are actually deployed into portfolio companies. For investors, it underscores the need for careful cash flow planning to ensure liquidity when calls arrive.

Key Takeaway

A Capital Call is the process by which private funds collect committed money from investors as needed. It enables efficient cash flow management but requires LPs to remain prepared to meet funding obligations on short notice.
