MAS Capital Markets Services (CMS) licence — Complete 2026 guide

A mas capital markets services (CMS) licence is the principal MAS regulatory authorisation for any entity that wishes to carry on a regulated activity under the Second Schedule of the Securities and Futures Act 2001 — including dealing in capital markets products, fund management, custodial services and providing credit rating services. Most fintech and wealth-management firms in Singapore that touch retail or accredited investor money require either a full CMS licence or one of the registered exemptions.

What a CMS licence covers in 2026

Under Section 82 of the Securities and Futures Act 2001, a Capital Markets Services licence permits a corporation
to carry on one or more of the regulated activities specified in the Second Schedule. The most commonly held
sub-classes are dealing in capital markets products (DICMP), fund management (FM), product financing, providing
custodial services and providing credit rating services. Many wealth managers also rely on the related
Financial Adviser’s Licence (FAL) issued under the Financial Advisers Act 2001, which is a parallel regime.

Who needs a CMS licence

Boutique asset managers, broker-dealers, fintechs offering investment products to accredited investors, robo-advisers,
and custodians for digital-asset funds all fall within scope. Single Family Offices managing only their own family’s
money may operate under the 2023 MAS Class Exemption without holding a CMS licence — but the moment a third party
allocates capital to the same vehicle, the exemption breaks. See our companion piece on

Eligibility, capital and personnel

  • Base capital: S$250,000 minimum base capital for fund managers serving accredited and institutional
    investors; S$1,000,000 for retail-facing managers.
  • Risk-based capital: at all times the higher of base capital and 120% of operational risk requirement.
  • CEO and directors: at least two directors, one of whom must be resident in Singapore. The CEO must
have at least 10 years’ relevant experience.
  • Representatives: all individuals dealing with customers must be appointed as Appointed Representatives
on the MAS Public Register and pass the relevant Capital Markets and Financial Advisory Services (CMFAS) examinations.

Section 82(1) of the Securities and Futures Act 2001 makes it an offence to carry on a regulated activity
without holding a CMS licence (subject to the prescribed exemptions in Section 99).

Cost and timeline benchmarks

  • MAS application fee: S$1,000 per regulated activity.
  • Annual licence fee: S$4,000–S$8,000 depending on activity class.
  • Indicative legal/advisory cost for application: S$60,000–S$150,000.
  • Indicative timeline from submission to in-principle approval: 6–9 months.

The step-by-step CMS licence application process

  1. Engage MAS pre-application discussion (optional but recommended).
  2. Prepare Form 1A and supporting documents (business plan, compliance arrangements, AML/CFT framework, IT and
    cybersecurity policy, risk management framework).
  3. Submit via the MASNET / Corporate e-Lodgement platform.
  4. Respond to MAS clarifications (typically 2–3 rounds).
  5. Receive in-principle approval; lodge final compliance certifications; receive full licence.

Common mistakes

The most common application failure is an inadequate AML/CFT framework — particularly weak source-of-wealth
diligence on high-net-worth clients. The second is under-resourced compliance: MAS expects a dedicated Head of
Compliance with at least 5 years’ relevant experience, separate from the CEO. The third is undercapitalised
balance sheets at the moment of licensing — MAS verifies base capital at the licensing date.
