A relevant group exists if the group’s entities are not all incorporated/established in Singapore, or if any group entity has a place of business outside Singapore. By contrast, a standalone Singapore company with only a foreign branch is not a group and outside 10L’s scope.

Meeting the economic substance requirement (e.g. having adequate local headcount, expenditure, and decision-making in Singapore, or compliant outsourcing) can keep such gains outside 10L. But if you fail that test, even capital gains on foreign shares may be taxable when remitted. If a gain is already taxed as trading income under Section 10(1)(a), Section 10L does not apply again.
