How incorporation works

  1. Tell us about the company: proposed name, business activity (SSIC code), directors, shareholders, share capital and financial year end.
  2. Due diligence: we verify identity and, for remote clients, arrange a video call, as required of corporate service providers.
  3. Name check and documents: we check the name with ACRA and prepare the constitution and consent forms for signing, electronically through Raffles Sign where possible.
  4. Filing: we register the company with ACRA. Timing depends on complete documents, compliance checks and ACRA processing.
  5. After incorporation: you receive the Business Profile, and we help with the first directors’ resolutions, share certificates and a corporate bank account introduction.

Foreign founders

Foreigners can own 100% of a Singapore company. Owning a company does not give you the right to work or live in Singapore; that needs a separate work pass. Read our guide for foreign founders setting up in Singapore.

Frequently asked questions

Do I need to be in Singapore to incorporate?

No. We can incorporate remotely after identity checks and a video call. The company still needs a locally resident director.

Can I be the only director and shareholder?

Yes, if you are ordinarily resident in Singapore. You cannot also be the sole company secretary of your own one-director company.

What happens after incorporation?

The company must keep registers, hold AGMs or pass written resolutions where required, file annual returns and file tax returns with IRAS. Our corporate secretarial guides explain each step, and our set-up cost calculator gives a first-year estimate.

Official guidance: ACRA.
