Which Business Names Get Referred to Another Government Agency

If your proposed business name contains a word such as “bank”, “law”, “architect”, “university” or “defence”, or if your SSIC activity code sits in a regulated field, ACRA will not decide your name application alone. It refers the file to the responsible agency first, and that adds up to 15 working days.

Referral is the single largest source of schedule uncertainty in Singapore business registration, and it is almost always discovered too late. Founders test the name, find it available, apply expecting same-day approval, and then wait three weeks while a ministry considers whether they should be allowed to use the word they picked.

The frustrating part is that a referral can be triggered by something you never thought of as a name issue at all: the five-digit activity code you selected from a dropdown. This article sets out both sets of triggers, who reviews what, and what you can do about it.

What a referral is, and why it exists

A referral is not a refusal. It is a consultation. ACRA maintains the register of business entities, but it does not regulate architecture, legal practice, banking, education or religion. Where a name or an activity falls inside another agency’s remit, that agency is asked whether the name should be allowed.

The logic is straightforward once you see it. A company called “Meridian Legal Chambers Pte Ltd” tells the public it is a law practice. If it is not one, the register has been used to mislead. The Legal Services Regulatory Authority is better placed than ACRA to decide that, so ACRA asks.

The same reasoning runs through the whole list. Titles that carry professional standing, activities that require a licence, and words tied to national institutions all get a second reader.

Two of these carry a named warning worth repeating. Combining “national” or “Singapore” with an education word such as academy, college, institute or university will normally be rejected outright rather than merely referred. So will using “SkillsFuture” in a business name.

The MAS list cuts both ways

Financial services names look like a minefield, and most founders assume anything money-related goes to the Monetary Authority of Singapore. It does not, and the distinction is useful.

A fund management firm calling itself “Ardent Capital Asset Management Pte Ltd” should clear without a referral. The same firm calling itself “Ardent Clearing House Pte Ltd” will not.

Trigger two: your SSIC code

This is the one people do not see coming. The name can be entirely unremarkable and the application is still referred, because the activity code you selected sits inside a regulated field.

Activity descriptions can trigger a referral too

Even without a listed code, a described activity can route your file. Spot commodity trading and rubber trading go to Enterprise Singapore. Promoting religion, conducting religious worship or teaching religious belief goes to the Ministry of Home Affairs. Operating a school, learning centre or training centre for academic education goes to the Ministry of Education, and to SkillsFuture Singapore for the vocational end.

Note the carve-out on education, because it saves a lot of unnecessary worry: training in beauty, dressmaking, cooking, sports, games, driving and recreation is not academic education and does not need approval from either.

How long a referral actually adds

ACRA publishes two different figures in two different places. Its referral guidance and its name reservation guidance both say the additional review may take up to 15 working days. Its guidance on choosing a name says a referral can add 14 to 60 days.

Plan for the longer number. In practice the range reflects the agency: some referrals come back inside a week, and others sit with a ministry that is weighing a substantive question about whether you should be using the word at all.

If you have already signed a lease, given an investor a target date or booked a bank appointment, that difference is expensive. This is the reason to check the triggers before you apply rather than after.

The rule almost everybody misses

Approval of the name is not permission to carry on the activity.

Getting “Ardent Commodity Trading Pte Ltd” approved by ACRA after an Enterprise Singapore referral tells you the name is acceptable. It does not license you to trade spot commodities, which is a separate matter under the relevant Act. A name cleared after a Monetary Authority of Singapore referral is not a licensed financial institution. A company with “legal” in its name that has cleared MinLaw is not a licensed law practice.

Some regulators also expect the sequence to run the other way. Law practices are directed to obtain their licence or registration from the Legal Services Regulatory Authority before registering with ACRA, not after. If you are entering a licensed field, check the regulator’s own expected sequence before you file anything, because getting it backwards can mean redoing both.

How to avoid a referral, or plan for one properly

  1. Read your shortlist against the word list above before you pay. Every name, not just the favourite.
  2. Check your SSIC code against the code table. This is the trigger people miss entirely, and it operates independently of the name.
  3. Decide whether the trigger word is load-bearing. A consultancy that calls itself an “institute” for tone rather than substance can usually drop the word and get approved the same day. A genuine architectural practice cannot, and should not try.
  4. If the referral is unavoidable, prepare the supporting material first. Names containing “ASEAN” require you to show how the use meets the published conditions. Charity names go through the Charities Unit and have their own naming rules on the charities portal. A referral answered with a complete file moves faster than one that generates questions.
  5. Sequence the licence and the registration correctly. Check whether your regulator expects to see you before ACRA does.
  6. Build the delay into your dates, and hold a fallback name. Two acceptable names and a realistic timeline beat one perfect name and an optimistic one.

What goes wrong

The SSIC code triggers a referral the founder never anticipated. The name is ordinary, so nobody checked. Then the activity code routes the file to a ministry and three weeks disappear. Check the code with the same care as the words.

A referral is confused with a rejection. A file sitting with another agency looks, from Bizfile, like nothing is happening. Founders assume something has failed and start a second application. That is a second non-refundable fee for no benefit. The name is approved and treated as a licence. The company starts trading in a regulated field on the strength of an approved name. That is a regulatory problem, not a registration problem, and it is a considerably more expensive one.

“National” or “Singapore” is added to an education name. It reads as prestige and it normally produces a rejection rather than a referral.

Referral time runs into the 120-day reservation window. This one bites at the far end. The referral eats three weeks of a process that was already tight, and then the registration misses the reservation deadline. Count backwards from the outset.

Checking the triggers before you pay

A referral costs you time you have usually already promised to somebody else. It is entirely predictable, and five minutes against the two tables above is the whole of the prevention.
