Do You Need a Lawyer for an ACRA Court Case?

You do not always need a lawyer for an ACRA court case. Many directors charged with a straightforward filing offence, such as a late annual return, file the overdue documents, attend the mention, plead guilty and mitigate on their own. You should get a lawyer if you intend to claim trial, if the charge carries imprisonment (for example false statements under section 401 or accounting records under section 199), if a conviction could disqualify you as a director, if you cannot attend court in person, or if you want to negotiate with the prosecution. Companies cannot get legal aid. Individual legal aid is limited and generally excludes regulatory offences prosecuted by statutory bodies.

This guide helps you decide, and explains what a corporate services provider can and cannot do for you.

When you can usually manage without a lawyer

All of these should apply:

In this situation the Singapore Courts’ self-help materials, such as the guidance on pleading guilty or claiming trial and preparing a mitigation plea, plus our guides on pleading guilty to an ACRA charge and writing a mitigation plea, are usually enough.

When you should instruct a lawyer

Situation Why a lawyer helps
You dispute the charge A trial involves evidence, cross-examination and legal submissions. See claiming trial on an ACRA charge
The offence carries imprisonment False or misleading statements (s 401: up to $50,000 or 2 years), accounting records (s 199: up to 12 months) and similar charges need careful handling
A conviction could disqualify you Three filing convictions within five years trigger automatic disqualification under s 155. A lawyer can assess options such as representations to reduce charges
Many charges across several companies Negotiating which charges proceed and which are taken into consideration affects the total sentence
You cannot attend in person Section 154 of the Criminal Procedure Code lets the court dispense with personal attendance and allow an accused to appear by a lawyer in some cases
Other investigations are running Statements in an ACRA case may be relevant to IRAS, MOM or police matters
Your work pass or professional licence may be affected A lawyer can advise on disclosure obligations

What a lawyer does in an ACRA case

What a corporate services provider can do

A corporate secretarial firm cannot act as your advocate. Section 33 of the Legal Profession Act 1966 makes it an offence for an unauthorised person to act as an advocate or solicitor, or as an agent for a party, in legal proceedings, or to prepare documents relating to legal proceedings for a fee. What a corporate services provider can do is often the most urgent part of the work:

Is legal aid available?

Free legal clinics can give a short initial consultation, but will not usually run your case.

Choosing a lawyer

Example

This example is hypothetical. A director of five companies received summonses for annual return defaults across three of them. He already had one conviction from two years earlier. Pleading guilty to three charges would take him to four convictions within five years and disqualify him automatically. He instructed a lawyer, who made representations to ACRA, and the prosecution’s position on how to proceed with the charges was clarified before the plea. Meanwhile the companies’ corporate secretary brought all five companies up to date.

Frequently asked questions

Can my company secretary speak for me in court?

Not for a charge against you personally. A company secretary can be appointed to represent the company on the company’s charge. See whether the company secretary can attend court for the company.

Does having a lawyer reduce the fine?

Not automatically. A lawyer can present mitigation more effectively and identify points you might miss, but the court sentences on the facts.

Can the company pay my legal fees?

That depends on the company’s constitution and the Companies Act rules on indemnifying officers. Speak to your lawyer before the company pays. For tax treatment, see who pays the fine.
