If a nominee-director service renewal falls around the time a founder’s EP is approved, review the board transition before ending the arrangement. A work-pass outcome, director appointment, resignation and service-contract termination are separate steps.

ACRA’s resignation guidance requires the constitutional process to be followed and at least one ordinarily resident director to remain. Do not treat a service invoice’s expiry date as proof those conditions are met.
Check the founder’s actual position
Confirm the work-pass stage, proposed role, residence facts and eligibility for appointment. An approval letter may still require issuance or other action. Review the actual official conditions and corporate requirements with the relevant advisers.
Keep appointment consent and supporting records separate from immigration documents. Owning the company or obtaining a pass does not mean a corporate appointment has already been completed.
Example: the pass is approved, the appointment is not filed
The founder expects to take over but the nominee-service renewal date arrives before the board transition is complete. Identify the remaining steps and the contract position. Do not remove the existing resident director from the plan merely because the founder intends to act soon.
Prepare the transition chronology
- Nominee service terms and renewal or termination notice.
- Founder’s actual eligibility and pass position.
- Appointment consent and corporate approvals.
- Director appointment and official filing outcome.
- Valid resignation and withdrawal process.
- Open filings, notices, accounts and handover items.
Where the nominee arrangement is provided by way of business, review the registered-CSP framework and the actual service provider’s role. Do not replace it with an undocumented informal arrangement.
Review open matters before changing responsibility
List outstanding tax queries, annual filings, bank instructions and company records. Assign an owner and due date for each. A departing director’s service fee being settled does not prove the underlying company obligations are complete.
Preserve correspondence and instructions already given. The incoming director should receive an accurate account, including unresolved issues.
Keep banking and contracts on a separate checklist
Review signatories, access and counterparties that need notification. An ACRA change does not automatically prove that every institution has implemented new instructions. Obtain evidence from the relevant bank or provider.
Read termination, deposit and indemnity provisions in the service agreement. Seek legal advice where those terms or a release are disputed.
Close the handover with evidence
Retain the appointment and withdrawal records, completed handover and any continuing obligations. Do not backdate the transition or describe an intended resignation as already effective.
Does EP approval end the nominee agreement automatically?
Review the contract and completed corporate steps. Do not assume it.
Can the nominee leave before a qualifying replacement is in place?
Apply ACRA’s resignation requirements and the actual board position.
