Most changes to a VCC, its officers or its managers must reach ACRA within 14 days. A sub-fund name change is faster, at one working day, and both a VCC name change and a sub-fund name change cost $15.

None of this is optional bookkeeping. A VCC and its umbrella structure exist as records on ACRA’s register, and the register is only accurate if every change to who runs the vehicle, what it is called, and where it operates is reported inside the window the Variable Capital Companies Act 2018 sets. Investors, banks and MAS all rely on that register being current, not on what the VCC’s own files happen to say.
The practical difficulty is not knowing that changes must be reported. It is knowing which of several different clocks applies to which kind of change, because they are not all the same length and they do not all cost the same.
The four kinds of change, and the clock each one runs on
Changes to VCC information
“VCC information” covers the vehicle’s own particulars rather than the people running it: its name, its sub-fund names, its type, its registered office, where its register of members and index is kept, its office hours, its activity description, and any alteration of its constitution under section 20(5) of the VCC Act.
| Change | Fee | Must reach ACRA within | Notes |
|---|---|---|---|
| Sub-fund name | $15 | One working day | May need in-principle approval from a referral authority. No Notice of Resolution needs to be lodged separately. |
| VCC name | $15 | 14 days | May need in-principle approval from a referral authority. |
| Other VCC information (type, registered office, register location, office hours, activity description, constitution alteration under section 20(5)) | Free | 14 days | No referral approval step in the ordinary case. |
The one-working-day clock on a sub-fund name is easy to miss because everything else in this table runs on 14 days. A sub-fund rename agreed at a manager’s meeting on a Friday needs to be filed the next business day, not within the two-week window that applies to almost everything else.
Changes to officers, managers and auditors
Directors and secretaries of a VCC must report changes to VCC officers and managers, meaning appointments and cessations, within 14 days to avoid the late lodgment penalties that apply to overdue filings generally. The same 14-day window applies to a change in an existing officer’s or manager’s particulars, such as a new residential address or a change of qualification details relevant to the role.
Both categories are free to file. The cost of getting this wrong is not a filing fee. It is the late lodgment penalty that attaches once the 14 days have passed without the change being reported.
One exception is worth flagging precisely because it surprises people: Singapore citizens and permanent residents do not need to tell ACRA about changes to their own name, address, nationality or identification. Those updates go to the Immigration and Checkpoints Authority directly, and ICA’s records flow through to ACRA’s systems rather than the other way round.
Maintaining the registers behind the filings
Filing a change with ACRA and keeping the underlying register accurate are two different obligations that happen to run on the same clock. The VCC Act splits responsibility for these registers across several provisions.
| Register | Where it sits |
|---|---|
| Register of Members (shareholders) | Kept by the VCC itself under section 81 of the VCC Act |
| Register of Controllers (beneficial owners) | Governed by MAS Notice VCC-N01 |
| Registers of Directors, Company Secretaries, Managers and Auditors | Kept by the Registrar under section 71 of the VCC Act, which applies section 173 of the Companies Act 1967 for directors, secretaries and auditors |
A VCC that files a change with ACRA but never updates its own register of members has only done half the job. Both records need to agree, and in a fund structure with multiple sub-funds and frequent subscriptions or redemptions, the register of members is usually the one that drifts first if nobody owns the task.
Changing the financial year end
A VCC’s financial year end drives both the AGM deadline and the annual return deadline, so changing it is not a minor administrative tweak. The process itself is straightforward provided the VCC portal login is in order.
- Log in to VCC eServices using your Corppass credentials.
- From the eServices menu, select Annual Filing.
- Choose Change of Financial Year End.
- Complete and submit the application through the portal.
Because the FYE is the anchor date for so many other deadlines, a change made late in a financial year can shift an AGM or annual return deadline that was already close, so this is worth doing with enough runway to avoid creating a filing problem while trying to solve a different one.
What goes wrong in practice
The sub-fund name change misses the one-working-day window because nobody expected it to be that short. Every other change on this page runs on 14 days, so teams default to that assumption and treat a sub-fund rename the same way. By the time anyone checks, the one-day clock has already passed.
An officer resigns and the filing waits for the next board meeting. Fourteen days moves faster than most companies’ internal meeting cadence. Waiting for a scheduled board meeting to formally note a resignation before filing it is a common way to blow past the deadline without anyone intending to.
The register of members is updated in a fund administrator’s system but never reflected in the statutory register. Fund administrators track investor subscriptions and redemptions in their own platforms as a matter of course. That is not the same record as the statutory register of members required under section 81, and the two can silently diverge unless someone is responsible for reconciling them.
A Singapore citizen director assumes ACRA already has their new address because they told the VCC. Telling the VCC’s corporate secretary is not the same as ACRA’s own records being updated through ICA. The obligation runs through ICA specifically, and assuming it happens automatically leaves the record stale.
Frequently asked questions
How long do I have to report a new director or a departing director?
Fourteen days from the date of the appointment or cessation. The filing itself is free. Missing the window exposes the VCC to the late lodgment penalties that apply to overdue filings under the VCC Act, so the 14 days should be treated as a hard deadline rather than a guideline.
Does renaming a sub-fund really need to be filed within one working day?
Yes. A sub-fund name change is the fastest clock in the whole update regime, at one working day rather than the usual 14. It also carries a $15 fee and may need in-principle approval from a referral authority before it can be registered.
Do I need to file anything if a Singapore citizen director changes their home address?
No. Singapore citizens and permanent residents report changes to their own name, address, nationality or identification to the Immigration and Checkpoints Authority, not to ACRA directly. Their VCC officer record updates through ICA’s own channels rather than through a separate VCC filing.
Is there a fee to update an officer’s particulars, such as their appointment details?
No. Updating the particulars of an existing officer or manager is free, and so is filing the appointment or cessation of an officer, manager or auditor. The two paid items in this whole area are a VCC name change and a sub-fund name change, both at $15.
What is the difference between filing an officer change with ACRA and updating the VCC’s own registers?
Filing tells ACRA about the change. Updating the register of members, the register of controllers, or the registers of directors, secretaries, managers and auditors keeps the VCC’s own statutory records accurate. Both need to happen, and doing one without the other leaves the VCC’s records inconsistent even if the ACRA filing itself was on time.
Can I change my VCC’s financial year end whenever I want?
You can apply through VCC eServices at any time, but because the FYE anchors the AGM and annual return deadlines, a change made close to an existing deadline can create rather than solve a filing problem. It is worth planning the change with enough lead time before those dates.
Keeping the record straight without a spreadsheet of clocks
The difficulty with VCC information changes is rarely the individual filing. It is remembering that a sub-fund rename runs on a different clock to everything else, that the register of members needs updating separately from the ACRA filing, and that a director’s personal particulars sometimes go through ICA instead of the VCC portal.
Raffles Corporate Services maintains VCC registers and officer filings across our client portfolio, tracks each type of change against its own deadline, and reconciles the statutory registers against what has actually been filed. If your VCC has had officer, manager or sub-fund changes recently and you are not certain everything has been reported, that is worth checking before it becomes a late lodgment penalty. For what happens if a filing deadline is missed, see our guide to penalties and enforcement for late VCC annual return filing, and for the full set of duties a director carries, read the legal obligations of a VCC director.
ACRA’s own summary sits on its page for updating VCC information and officers, the register of members obligation traces to the Variable Capital Companies Act 2018, and the register of controllers is governed by MAS Notice VCC-N01.
