A limited partnership registration in Singapore does not run forever. It expires, and you must renew it on Bizfile before the expiry date to keep trading. You can file the renewal up to 60 days early, and you can choose a one-year or a three-year term.
Raffles Corporate Services works with a panel of experienced Singapore law firms who offer cost-effective and efficient legal service and advice. This article is general information only and is not legal advice.
This is the single compliance obligation that catches limited partnerships out most often, because it has no analogue in the company world. A private limited company never has to renew its incorporation. An LP does, and if the date slips past you the registration is cancelled rather than merely late.
Here is the timing, the money, the MediSave trap that stops most rejected renewals, and what happens if you miss it.
Why an LP registration expires at all
A limited partnership is registered under the Limited Partnerships Act 2008 rather than incorporated under the Companies Act 1967. It is not a separate legal person in the way a company is. It is a registered business arrangement between at least one general partner, who carries unlimited liability, and at least one limited partner, whose exposure is capped at what they have contributed.
Because it is a registration rather than an incorporation, it carries a term. When the term ends, the registration ends. There is no grace period and no automatic rollover.
That is a structural point worth sitting with. If you are weighing an LP against a private limited company for a new venture, the renewal cycle is a real, recurring administrative cost on one side of the ledger. Our overview of what you can and cannot do in the filing portal, What Bizfile Actually Is, and What You Can and Cannot Do In It, sets out where these filings live.

When can I renew, and how do I find my expiry date?
You can renew from 60 days before the expiry date, and not a day earlier. If you try at day 61, the system will simply refuse to open the transaction.
Two ways to find the date:
- Search your entity name or UEN under “Search for Business Information” on the Bizfile homepage. This is public information and needs no login.
- Log in to Bizfile with Corppass and read the expiry date off your Entity Information Dashboard.
ACRA also pushes reminders. A renewal reminder letter goes to the registered residential address roughly 60 days before expiry. If the registration is still unrenewed 30 days after the expiry date, an SMS reminder follows.
Do not build your compliance calendar on those reminders. They go to the address and mobile number ACRA has on file, which for many partnerships is the address of a partner who moved three years ago. If you have not received one, the first thing to check is whether your own contact details in Bizfile are current, and the second is your Bizfile inbox. We wrote about this failure mode in detail in The ACRA Alerts Companies Miss, and What They Cost.
One year or three years?
Both terms are available, and the three-year term is materially cheaper per year.
| One-year renewal | Three-year renewal | |
|---|---|---|
| Fee (non-refundable) | $30 | $90 |
| Cost per year | $30 | $30 |
| Extra qualifying condition | MediSave arrangements in place | Stricter MediSave test, see below |
| Approval time | Immediate | Immediate |
The headline fee works out the same per year, so the case for the three-year term is not price. It is that you remove two renewal events from your calendar, and renewal events are exactly the kind of thing a small partnership forgets.
Payment is by credit or debit card, PayNow, PayPal, Apple Pay or Google Pay. If a payment fails partway through, read our note on Paying ACRA on Bizfile before you retry, because a duplicated payment is more annoying to unwind than a failed one.
The MediSave condition, which is where renewals actually fail
This is the part nobody expects and it is responsible for most rejected LP renewals.
General partners who are individuals are self-employed persons for CPF purposes. That means they accrue a MediSave liability on their net trade income. ACRA will not process a renewal where a partner has outstanding MediSave payable and no arrangement with the CPF Board to deal with it. If the position is not fixed, ACRA may cancel the registration.
What “arrangement” means for each renewal term
For any renewal, every relevant partner must have either paid the outstanding MediSave in full, or set up a monthly instalment plan with the CPF Board.
For a three-year renewal, the test is tighter. Each relevant partner must either have no outstanding MediSave payable at all, or be on an instalment plan and have been contributing monthly for at least 24 consecutive months.
You can check the outstanding amount and set up an instalment plan through the CPF Board’s self-employed dashboard at cpf.gov.sg. Do this before you open the renewal transaction, not after it fails. If you have met the three-year conditions but the three-year option is still greyed out in Bizfile, the block is on the CPF side and you need to raise it with the CPF Board rather than with ACRA.
If MediSave for self-employed partners is unfamiliar territory, our guide to CPF MediSave contributions for self-employed persons covers how the liability is computed and when it falls due.
The renewal itself, step by step
You need Corppass access to the entity. If nobody has ever set that up, that is the first job and it is a separate exercise. See Logging In to Bizfile as a Business User: The Corppass Route.
Only a business owner can file the renewal, or a registered corporate service provider acting on their behalf.
- Clear or arrange the MediSave position for every individual partner. Do this first.
- Log in to Bizfile and select Business User to authenticate through Corppass.
- Confirm you are on the correct entity dashboard. If you hold positions in several entities, switch profile before you go any further.
- From the top menu select Manage, then Limited partnership, then the renewal transaction.
- Choose the one-year or three-year term.
- Review the partnership details on screen. If anything is out of date, fix it through the separate update transaction rather than trying to correct it inside the renewal.
- Pay the fee. Approval is immediate.
Afterwards a free Business Profile lands in your Bizfile inbox, showing the updated registration details. Download it within 30 days. The free copy expires after that and you will have to buy one. Save it to the partnership’s own records, because it is the cleanest proof of renewal you will get.
What goes wrong, and what it costs
You keep trading past the expiry date. Carrying on the business of an LP after the registration has expired is an offence. This is not a technicality that resolves itself when you eventually file. It is the reason the deadline is hard.
The registration is cancelled for non-renewal. You cannot renew a registration that no longer exists. The remedy is to register a fresh limited partnership, which means a new registration, potentially a new UEN, and a gap in the entity’s continuous history that will show up in every due diligence exercise from that point on. Contracts, bank mandates, licences and supplier accounts tied to the old registration all need revisiting.
You renew but leave the partnership details stale. A renewal confirms the registration, it does not tidy up the record. Partner changes, address changes and business activity codes are separate filings with their own deadlines. Pull a Business Profile and read it properly at renewal time. Our note on using Bizfile’s search functions before you sign anything explains what to look for.
You wind the partnership down but never deregister it. If you have stopped trading, cease the LP properly before expiry rather than letting the registration lapse by silence. A lapsed registration and a closed one look different on the record, and the second is the one you want.
Frequently asked questions
Can I renew my LP more than 60 days before it expires?
No. Bizfile opens the renewal transaction 60 days before the expiry date and not before. If you try earlier, the system will not let you proceed. Diarise the 60-day mark rather than trying to clear the task months ahead.
What happens if my MediSave is not up to date?
The renewal will be rejected. Every individual partner must have either paid the outstanding MediSave in full or set up a monthly instalment plan with the CPF Board. Sort this out on the CPF side first, then file. ACRA cannot waive it.
My LP registration already expired. Can I still renew it?
Not once the registration has been cancelled for non-renewal. At that point you must register a new limited partnership from scratch. If you are close to the line but not yet cancelled, contact ACRA immediately rather than waiting.
Who is allowed to file the renewal?
A business owner, meaning a partner of the LP, or a registered corporate service provider filing on the partnership’s behalf. An employee with general Corppass access is not enough on its own.
How long does approval take?
Approval is immediate once payment goes through and the MediSave check passes. There is no review queue for a straightforward renewal, which is why a rejection almost always points to a MediSave or Corppass problem rather than anything discretionary.
Do I get anything to prove the renewal happened?
Yes. A free Business Profile appears in your Bizfile inbox with the updated registration details. Download it within 30 days, because the free copy expires after that period.
Getting the date off your desk
An LP renewal is a fifteen-minute job with a two-year lead time, which is precisely why it gets missed. Nobody forgets a task that is due tomorrow. They forget the one that has been due in eleven months for eleven months.
Raffles Corporate Services tracks renewal dates for the partnerships and companies we act for, checks the MediSave position before the window opens rather than after a rejection, and files inside the 60-day period. If you are not certain when your LP registration expires, that is a one-minute check and worth making today.
