An Alternate Director Is Asked to Sign After the Appointing Director Returns: Check the Appointment Terms

Two people reviewing documents at a table

An alternate director’s authority should be checked against the company’s constitution and actual appointment. The appointing director returning to work does not, by itself, tell you the answer for every company.

Before obtaining a signature, identify the document, the capacity required and whether the alternate’s appointment still operates under its terms.

Retrieve the appointment documents

Review the company constitution, nomination or appointment instrument, relevant approvals and any duration or termination provisions. Ask the secretary to establish the recorded position and any applicable filing requirements.

Do not assume a template from another company has identical rules. An arrangement intended only for particular circumstances should be read as such.

Example: a banking instruction arrives after a return

The principal director resumes attending meetings. The bank then requests an alternate’s signature on a transaction. Check both the corporate appointment and the bank’s own authority requirements. A previous accepted signature does not prove authority for every later instruction.

Distinguish board participation from a separate mandate

A board-role question should not be answered solely by a bank access screen. Likewise, appointment as an alternate does not itself show that the individual can operate every financial account.

Review the proposed company decision

Provide the full document and supporting business information to the person expected to act. A signature should follow an informed decision and valid authority, rather than serve as a substitute for either.

If both individuals participate, check the constitution’s provisions before counting votes or treating them as two independent board positions for the same seat.

Correct the operating records prospectively

Where an appointment ends or its scope changes, complete the required corporate steps and notify relevant recipients. Keep evidence of the recipient’s implemented change. Do not assume that ending an appointment automatically removes online account access.

If a document was already signed while authority was uncertain, preserve it and seek advice about the legal position and any appropriate corrective action. Re-signing with a false earlier date is not a solution.

Does returning from leave always terminate an alternate appointment?

Check the actual governing terms. Do not apply an automatic rule without reviewing them.

Can an alternate sign because the principal director is busy?

Establish the appointment and authority for the specific action first.
