A Buyer Changes the Consideration After a Drag-Along Notice: Review the Deal Again

Colleagues discussing documents in a meeting

If a buyer changes the price or payment structure after a drag-along notice, obtain legal advice before treating the original process as sufficient. The shareholder agreement may define the sale terms, notice requirements and conditions that must be satisfied.

Compare the actual revised offer with what shareholders were told, including the value and risk of non-cash or deferred consideration.

Identify what changed

Separate a higher or lower cash price from an earn-out, shares in the buyer, escrow or deferred payment. Record new conditions, warranties and completion dates.

A headline value that remains unchanged may still produce a materially different commercial outcome. Do not describe every revision as merely administrative.

Example: cash becomes an earn-out

The original notice described a cash purchase. The buyer later makes part of the price dependent on future performance. Ask advisers whether the drag-along terms permit the revised structure and what further process is required.

Prepare the legal comparison pack

Keep the signed agreement separate from an informal summary. The actual wording should determine which rights are being invoked.

Assess obligations imposed on selling shareholders

Review warranties, liability limits, payment adjustments and any obligations to sign documents. Do not assume that a drag-along clause authorises every undertaking the buyer later requests.

If the agreement or process is contested, seek advice promptly. Do not replace disputed consent with a fabricated signature or backdated acknowledgement.

Coordinate completion only after the position is resolved

Review the constitution alongside the shareholder agreement. Prepare transfer and other completion documents for the transaction actually agreed, using ACRA’s share transfer requirements where applicable.

The secretary should receive clear instructions supported by the reviewed documents. An updated cap table should reflect completed transfers, not an assumption that the original notice settled every later change.

Does an unchanged headline valuation settle the issue?

No. Compare the full consideration and obligations.

Can the old notice always be reused?

Check the agreement and revised facts. Obtain advice before relying on it.
