A drag-along notice sent to an outdated address creates a service question that should be resolved before relying on it. The shareholder agreement’s notice provisions, actual contact records and delivery facts all matter.
Raffles Corporate Services works with a panel of experienced Singapore law firms who offer cost-effective and efficient legal service and advice. This article is general information only and is not legal advice.
Do not assume a message was validly served merely because someone clicked send. Equally, do not assume every disputed receipt makes service invalid. Obtain legal advice on the contract and evidence.
Retrieve the notice provisions
Check the permitted delivery methods, nominated addresses, address-change procedure and any deemed-service terms. Identify which agreement version applies to the shareholder.
Distinguish the contractual notice address from an address appearing in a company profile or internal contact list. They may serve different purposes.
Example: the shareholder changed email informally
A shareholder regularly uses a new email address, but the formal notice is sent elsewhere. Collect the correspondence, any address-change notice and the agreement’s requirements. Avoid deciding the outcome from one returned message alone.
Build a delivery chronology
- The complete notice and attachments.
- Address and delivery method used.
- Dispatch, tracking and receipt information.
- Bounce messages or returned mail.
- Previously notified contact changes.
- Responses and any agreed extension.
Keep original headers or postal evidence where available. Do not edit timestamps or recreate receipts after the event.
Review the response deadline and proposed remedy
Ask advisers whether the contractual process was met and whether a fresh notice or another step is appropriate. Work backwards from the actual proposed completion date.
Where a dispute is raised, preserve it and obtain advice on the next action. A failure to respond should not be described as consent unless the relevant terms and law support that conclusion.
Keep company filing separate from contractual service
The company secretary needs the resolved transaction instructions and completion evidence. Review the company constitution and share transfer filing requirements separately.
A register update does not retrospectively prove that every contractual notice requirement was met. Retain the notice file with the sale documents so the sequence can be explained.
Is sending to the last known address always enough?
Check the agreed service rules and relevant facts.
Should delivery records be discarded once the sale closes?
Keep them with the executed transaction and applicable retention records.
