You register a VCC through the dedicated VCC Portal, not through Bizfile. The sequence is: confirm eligibility and officers, reserve the name, settle the constitution, choose the VCC type and financial year end, then lodge the incorporation application. The registration fee is $8,000, with $15 for the name, and approval takes roughly 14 to 60 days.
Raffles Corporate Services works with a panel of experienced Singapore law firms who offer cost-effective and efficient legal service and advice. This article is general information only and is not legal advice.
That timeline surprises people who are used to incorporating a private limited company in a morning. A VCC is a regulated fund vehicle, and the application goes through a proper assessment rather than an automated check.
This is part 2 of 2. If you have not yet settled whether a VCC is the right vehicle at all, start with part 1, on what a VCC is and who it suits, because the fee is non-refundable and the manager requirement disqualifies more applicants than anything else.
Before you start: who is allowed to lodge the application
Two routes exist.
Subscribers with Singpass can lodge directly. A subscriber is a founding member who has signed the VCC constitution. If you hold Singpass and you are on the constitution, you can file the application yourself.
Everyone else goes through a corporate service provider. A foreigner without Singpass must engage a registered corporate service provider to file on their behalf. That provider files using Corppass. Foreign individuals must also be at least 18 and must appoint at least one director who meets the residency and fitness requirements. If you intend to relocate to Singapore to run the VCC yourself, that is a Ministry of Manpower question and a separate application.
The provider you engage must be registered under the corporate service provider regime. This is not optional and the obligations run both ways, as our Corporate Service Providers Act 2024 compliance FAQ explains.
The six steps, in order
- Confirm eligibility and line up your officers. You need at least one director, one company secretary, one fund manager and one auditor. Get written consents in hand before you file anything.
- Reserve the VCC name. Do this after the officers are confirmed, because the name application asks about them. The name fee is $15.
- Settle the constitution. This is the governing document and it has to exist before the subscribers can sign it.
- Choose the VCC type and the financial year end. Umbrella or non-umbrella, and the date your accounting year closes.
- Lodge the incorporation application on the VCC Portal. Pay the $8,000 registration fee. Sub-funds registered at the same time cost $400 each.
- Collect consents and complete post-registration set-up. If a corporate service provider did not file for you, every key officer and subscriber must consent online within 60 days of the notification email.
Each of those steps has its own guide in this series. What follows is the connective tissue: the decisions inside each step that determine whether the application clears first time.
Step 1: Eligibility and the officer set
Section 46 of the Variable Capital Companies Act 2018 requires a manager, and this is the gating item. Your fund manager must be an entity permitted to manage the VCC’s assets, which in practice means a licensed fund management company, a licensed bank or other permitted institution, or an exempt entity that the framework recognises. You will need the manager’s UEN, full name, business address, country of incorporation and a signed declaration confirming consent and qualifications.
If you do not yet have a manager, that is your real project, and it runs on MAS timelines rather than ACRA’s. Our note on the MAS licensed fund management company regime sets out what is involved.
Alongside the manager you need a company secretary and an auditor. Section 14 of the Act deals with VCC auditors. Directors are covered by the Act’s fit and proper requirements, and the detail of who can hold each role is covered in the companion guide on VCC directors and key officers.
What you need for every individual
| For each person | What the portal asks for |
|---|---|
| Directors and key officers | Nationality, ID type and number, telephone number, email address |
| Directors and key officers | Residential address, which becomes publicly purchasable unless you file a contact address |
| Directors and key officers | Optional contact address, in the same country, not a P.O. Box |
| Subscribers, individual or corporate | Name, ID number, email address |
| Fund manager | UEN, name, business address, country of incorporation, signed declaration |
The contact address point is worth pausing on. If you file only a residential address, anyone who buys information about the entity can see where your directors live. Filing a contact address is free and takes a minute. ACRA will still post official letters to the residential address, so nothing is lost by doing it.
Step 2: Reserving the name
Name reservation comes before incorporation and cannot be skipped. You need the approved name and the eService number from the successful reservation in order to lodge the incorporation application.
Reserve the name only after the proposed directors and officers are confirmed. If the officers change afterwards, you will be redoing work. A name that touches a regulated activity or a sensitive word will be referred to another authority, and that referral is one of the main reasons an application sits at the longer end of the processing window.
Step 3: The constitution
The constitution is the VCC’s governing document. Section 19 of the Act deals with it. It sets out the key details of the VCC, how it is run, how it operates, and the rights and duties of directors, shareholders and the company secretary. Critically for an umbrella VCC, the constitution is where the entity is declared to consist of two or more collective investment schemes.
The constitution is not a public document. The public cannot see it. The government can require it.
You do not have to draft from a blank page. The Singapore Academy of Law publishes model constitutions for VCCs which can be downloaded and customised. Use them as a starting point rather than a finished product: the model deals with the framework, not with your fee structure, your share classes or your redemption mechanics.
Step 4: Type and financial year end
Type. Non-umbrella means a single fund with one pool of assets and liabilities. Umbrella means two or more sub-funds, each with segregated assets and liabilities under section 29 of the Act, each running independently. You can change type after registration, so this is not irreversible, but changing later means constitutional amendments and administrative work. Decide properly at the outset.
Financial year end. The FYE is the last day of the accounting period, which can be 12 months or 52 weeks. Any date is permitted. The common choices are 31 March, 30 June, 30 September and 31 December.
The FYE drives your annual general meeting deadline, your annual return deadline and your tax filing deadline. Choose it against your fund’s own cycle and against when your auditor and administrator have capacity. A 31 December year end puts you in the busiest queue in Singapore. If your investor reporting does not demand it, a different date will get you better service and often a better fee.
Step 5: The application itself
You lodge on the VCC Portal, which is separate from Bizfile. Individuals authenticate with Singpass; corporate service providers use Corppass.
| Item | Detail |
|---|---|
| Name reservation fee | $15 |
| Registration fee | $8,000, non-refundable |
| Each sub-fund registered | $400 |
| Payment methods | Credit or debit card, PayPal, Apple Pay, Google Pay |
| Processing time | Approximately 14 to 60 days, longer where a referral authority is involved |
The registered office address you give is where ACRA and others serve legal documents and notices, and where the VCC’s records and registers are kept. It must be accessible to the public during normal office hours. It does not have to be where the fund is actually administered.
The word non-refundable is doing a lot of work in that table. Eight thousand dollars is not recoverable if the application is refused or abandoned. That is the strongest possible argument for getting the manager, the officers and the constitution settled before you touch the portal.
Step 6: What happens immediately after approval
On approval you receive a notice of successful incorporation and the VCC’s UEN. VCC UENs follow the format TYYVCXXXXX, for example T20VC0001A. Sub-funds under an umbrella carry the VCC’s UEN with a sub-fund suffix, so T20VC0001A-SF001 is the first sub-fund of that umbrella and T20VC0001A-SF002 the second. That convention is useful in practice: it lets a counterparty tell at a glance that two sub-funds belong to the same umbrella.
You also get a link to download a free copy of the VCC’s business profile.
Then the real work starts. If a corporate service provider did not file for you, chase the online consents: every key officer and subscriber must consent within 60 days of the notification email, and an application that stalls here is the most avoidable failure in the whole process. Beyond that, before the VCC starts operating you will need to open the bank account, appoint the fund administrator, put the AML and CFT arrangements in place with an eligible financial institution under MAS Notice VCC-N01, register any sub-funds not registered at incorporation, and get the statutory registers opened. The post-registration guide in this series covers that checklist in full.
Re-domiciliation is a different route to the same outcome. A comparable foreign fund entity can transfer its registration into Singapore as a VCC rather than incorporating fresh, subject to directors’ confirmations on financial health, consent from the origin jurisdiction, and the entity not being in liquidation or judicial management. That has its own guide, and the broader principles appear in our re-domiciliation FAQ.
What goes wrong in practice
The consents are never completed. Sixty days sounds generous until a subscriber is travelling, an email lands in spam and nobody owns the follow-up. Assign one person to chase every consent within the first week.
The manager declaration is missing or stale. The signed declaration confirming the manager’s consent and qualifications is a prescribed document. A draft, an unsigned copy or one signed by someone without authority will hold the application.
The name gets referred. Anything touching a regulated activity goes to another authority for approval, and that adds weeks. If the name is sensitive, reserve it early and plan the timeline around the longer window, not the shorter one.
The fee is paid before the structure is agreed. Because the fee is non-refundable, a change of plan after lodgement is expensive. Decide umbrella versus non-umbrella, and how many sub-funds you are registering on day one, before payment. Sub-funds registered later are perfectly normal, but at $400 each it is worth knowing which ones you actually need.
Nobody plans the second year. Registration is a one-off. The annual return, the AGM, the audit and the sub-fund reporting are not. Those obligations, and the valuation discipline that sits behind sub-fund segregation, are where most of the ongoing cost lives. Our note on the MAS valuation and risk management papers is a useful reality check, and winding up or dissolving a sub-fund shows what the exit looks like.
Frequently asked questions
How long does it take to register a VCC in Singapore?
Approximately 14 to 60 days from lodgement, and longer if the proposed name has to be referred to another authority. Plan on two months rather than two weeks, and longer again if the fund manager entity does not yet exist, because that runs on MAS timelines.
How much does it cost to register a VCC?
$8,015 in ACRA fees at incorporation: $15 for the name reservation and $8,000 for the registration itself. Each sub-fund registered costs a further $400. The $8,000 is non-refundable. Professional, legal, audit and administration fees sit on top.
Can I register a VCC myself, without a corporate service provider?
Only if you are a subscriber to the constitution and you hold Singpass. Foreigners without Singpass must engage a registered corporate service provider to file on their behalf. Even where self-filing is permitted, the constitution and manager declarations usually need professional input.
Do I have to register sub-funds at the same time as the VCC?
No. You can register sub-funds after incorporation, and most umbrellas add them over time as strategies launch. Each registration carries its own fee. What you should decide upfront is whether the VCC is an umbrella at all, because that affects the constitution.
What is the difference between the VCC Portal and Bizfile?
They are separate systems. VCC incorporations and VCC transactions are filed on the VCC Portal at vcc.bizfile.gov.sg. Bizfile handles companies, businesses and limited liability partnerships. Using the wrong one is a common first-day mistake.
Can I change the financial year end after registration?
Yes, but changes to a financial year end are controlled and in some circumstances require the Registrar’s approval, particularly where the change extends the financial year beyond the normal length or is made after the deadlines for the year in question have passed. It is far simpler to choose correctly at registration.
Getting it right the first time
The VCC registration process is not difficult. It is unforgiving. A non-refundable fee, a 60-day consent window and a manager requirement that has to be satisfied before anything else means the sequence matters more than the paperwork.
Read the Act on SSO if you want the source, and ACRA’s overview at acra.gov.sg for the official process pages. Then read part 1 of this guide again, honestly, before you pay.
Raffles Corporate Services works with fund managers and administrators on VCC incorporations and acts as company secretary afterwards, which is the part that runs for years rather than weeks. If you want the sequence mapped against your own launch date before you commit the fee, that is a conversation worth having early.
