Ownership Changes During an EDGE Project: Review the Eligibility and Approval File

Colleagues discussing documents in a meeting

A share transfer or restructuring during an EDGE project should be reviewed for its grant consequences as well as its corporate filings. Do not assume an approval remains claimable simply because the company was eligible when it applied.

The EDGE FAQ requires at least 30% Singaporean or permanent resident ownership and explains that eligibility must continue through the claim stage. Review the actual ownership position and any activity-specific requirements before completing a transaction.

Identify what the transaction changes

Prepare the existing and proposed ownership structures, with the applicant company clearly marked. Distinguish a transfer of shares in that company from a transaction involving a parent, subsidiary or business assets. Each can affect the information on which an eligibility assessment rests.

Confirm the relevant owners and supporting records. A diagram in a fundraising deck may not reflect the legal share register or the beneficial ownership information needed for the review.

Put the grant review on the transaction checklist

Ask the company secretary, accountant and transaction advisers to work from the same proposed structure. An eligibility concern discovered after completion can be harder to address than one identified while the documents are being negotiated.

Example: a foreign investor acquires additional shares

A company has an ongoing supported project and a proposed investor transfer would reduce local ownership. The director should establish the post-transaction percentage and review the funding consequences before treating the grant as an assured receivable. The investor’s commercial attractiveness does not answer the grant question.

Review what the sale documents say about grants

Share-sale and investment documents may contain disclosures, warranties or assumptions concerning public funding. Ensure they accurately describe the approval, expenditure and outstanding conditions. Do not describe an unsubmitted or uncertain claim as money already received.

If the parties allocate responsibility for a lost grant or inaccurate application information, obtain legal advice on the wording. Raffles Corporate Services can coordinate the corporate records, with contractual advice available through associated law firms where appropriate.

Do not substitute another entity in the project file

If the restructuring moves staff, assets or operations into another company, assess who will perform the work, incur the costs and hold the relevant contracts. Do not assume a related company can simply take over the approval or use the applicant’s grant account.

Seek an official response where the restructuring affects the project. Keep the explanation and outcome alongside the transaction documents and grant approval.

Update the finance assessment

Give the accountant the proposed ownership information and any agency response. Review the recoverability and treatment of any grant amount already included in the accounts. The corporate filing, transaction completion and grant claim are separate events that should reconcile to one factual chronology.

Does a minor share transfer always affect the grant?

Assess the actual resulting structure and conditions. The important point is to review the consequence rather than infer it from the label “minor”.

Does filing the transfer with ACRA confirm grant eligibility?

No. Corporate records and the grant’s eligibility assessment serve different purposes.
