A Proposed Director Is Also a Shareholder: Keep Appointment Consent and Share Rights Separate

Two people reviewing documents at a table

A shareholder invited to join the board needs a director-appointment review as well as an ownership record. Shareholding, a contractual nomination right and an actual appointment are different matters.

ACRA’s officer appointment guidance sets the relevant director requirements. Review the company’s constitution and agreements alongside the candidate’s consent and eligibility.

Identify the basis for the proposed appointment

Check whether the individual is being appointed under the constitution, a shareholder decision, a board power or an investor nomination arrangement. Obtain the actual documents and required approvals.

An agreement permitting an investor to nominate someone should be read with the company’s appointment process. Do not assume a nomination email alone completes every corporate step.

Example: the investment closes before the board appointment

An investor becomes a shareholder and expects a board seat. The secretary should distinguish the completed share transaction from the appointment still to be approved and recorded. The cap table does not itself prove the individual is a director.

Prepare a separate appointment file

Use the current ACRA forms and templates where applicable. Do not carry forward a former director’s personal details or signatures.

Explain the director role

The appointee should understand that board responsibilities differ from shareholder rights. An investor’s preferred commercial outcome does not answer every company-duty question. Review conflicts and access to information appropriately.

Where the person represents an investor, clarify the actual arrangement and relevant nominee-register obligations. Do not assume every investor appointee has the same status without examining instructions and circumstances.

Distinguish appointment from additional authority

A board appointment should be coordinated with bank signing, delegated powers and operational access, but does not prove all of them are in place. Record which further actions are required and obtain the relevant institution’s outcome.

If the appointee is a foreign work-pass holder, assess the applicable permission and role rather than treating share ownership as authorisation to work.

Keep later changes consistent

Retain the appointment evidence and update the appropriate company records. If the shareholder later sells shares, review whether the documents require a board change, but do not assume the office ends automatically in every case.

Does owning shares make someone a director?

No. Complete the relevant appointment process.

Does a board seat establish ownership of shares?

No. Review the shareholding and appointment records separately.
