If a new director’s name differs between their identity document and appointment papers, resolve the discrepancy before filing. Check the person and the source records, rather than copying the most familiar spelling into every field.
Raffles Corporate Services works with a panel of experienced Singapore law firms who offer cost-effective and efficient legal service and advice. This article is general information only and is not legal advice.
The appointment file should show accurate identity information, genuine consent and the actual corporate decision. A clean-looking form is not sufficient if the underlying person or details are uncertain.
Compare the original records
Review the current passport or relevant identity record, proposed consent, appointment resolution and any official name-change evidence. Identify whether the difference is a spelling error, name order, transliteration, former name or another issue.
Keep the documents as received and record the explanation. Do not edit an identity scan or a signed consent to make the versions appear consistent.
Example: the consent uses an old passport name
The candidate’s current passport differs from an older onboarding record. Obtain the appropriate supporting evidence and accurate appointment documents. Do not assume an expired document remains the correct filing source simply because it was previously used.
Confirm the candidate’s actual consent
- Verified individual and current identity details.
- Nature and reason for the discrepancy.
- Supporting official records where relevant.
- Accurate consent and declarations.
- Appointment approval and intended date.
- Any filing clarification required.
ACRA’s current director-consent forms should be used where applicable. A signature obtained for a different entity or appointment should not be recycled.
Keep identity checks proportionate and secure
Restrict identity documents to authorised staff and advisers. Use a controlled file instead of circulating full passport scans in a broad group chat. Keep only the information required for the actual process and applicable retention.
Where the candidate is overseas or unfamiliar to the company, follow the service provider’s proper verification process. Urgency should not replace a genuine identity check.
Review other eligibility and permission questions separately
Correct spelling does not establish that the person can lawfully accept the appointment. Review ACRA’s director requirements and any relevant work-pass conditions. Resolve these alongside the identity issue.
If there is concern about impersonation, disputed consent or a document’s authenticity, pause the proposed filing and obtain appropriate advice. Do not assume a person named by an intermediary has agreed to act.
Preserve the filing outcome
After the discrepancy is resolved, review the final details before submission and keep the official outcome. Check the resulting company record against the verified file. If an error has already been filed, use the proper correction process rather than merely changing the internal folder name.
Can a common nickname be used without checking?
Use the required verified legal details and appropriate supporting explanation.
Does a signed form settle an identity discrepancy?
No. Confirm that the correct individual gave informed consent using accurate records.
