If a restaurant will operate through a different company, review the food licence before the handover date. Buying equipment, taking a lease or changing a trading name does not automatically transfer the licence.

SFA’s guidance states that food retail licences are non-transferable. A new owner or a change of licensee requires the appropriate new application.
Compare the actual entities
Identify the current licensee, proposed operator, UEN, premises and activity. Distinguish a share sale that leaves the same corporate licensee in place from a move to a different operating entity.
Obtain advice on the actual transaction rather than assuming every business sale has the same licensing consequence.
Example: the lease is assigned to a new company
The premises and restaurant brand stay the same, but another company will trade. Review the required licence and other permissions before the new operator begins serving customers.
Prepare an operating handover checklist
- Sale or transfer agreement and completion conditions.
- Lease, landlord consent and premises access.
- Current licence and proposed application.
- Planned activities and any layout changes.
- Staff, suppliers, payment systems and tax records.
- Official approvals needed before operation.
SFA also requires approval for structural layout changes before works. Keep renovation approval separate from the change-of-operator question.
Build timing into the commercial documents
Ask legal advisers to review conditions, responsibilities and the consequences of a delayed licence. Do not promise an uninterrupted handover without checking the actual permissions.
A submitted application is different from an approved licence. Keep official outcomes and any conditions accessible to the operating team.
Coordinate financial and employee records
Clarify which company receives customer payments, pays staff and contracts with suppliers from the actual handover date. Reconcile deposits, stock and unsettled invoices.
A correct licence does not settle every employment, tax or contractual issue. Give the relevant advisers the same accurate transaction timeline.
Can the old licence simply be renamed for another UEN?
Review SFA’s non-transferability rules and required application.
Does signing the lease permit immediate food operations?
Confirm the required licence and other applicable approvals first.
