A VCC Sub-Fund Stops Accepting New Investors: Separate Subscription Closure from Legal Closure

Colleagues discussing documents in a meeting

A decision to stop accepting new investors does not, by itself, dissolve a VCC sub-fund. The fund may still hold investments, owe fees and have obligations to existing investors. Describe the decision precisely, check the fund documents and maintain the operating arrangements needed for the remaining portfolio.

Decide what “closed” means in the proposal

The team may mean no new investors, no further subscriptions from anyone, a temporary pause, or a plan to realise investments and end the sub-fund. Those decisions have different commercial effects. Use clear language in board papers, distributor instructions and investor notices.

Example: subscriptions stop while investments remain

A family investment vehicle reaches its intended size and stops taking new subscriptions. It still holds several investments and has existing shareholders. Calling it “closed” in an email should not lead staff to cancel record-keeping, manager or administration arrangements needed to operate it.

Review the documents before announcing the restriction

Ask advisers to identify which decisions require formal approval or notice. A business preference does not automatically override an investor’s contractual rights. Keep any exceptions documented consistently.

Keep ordinary administration running

Confirm responsibility for banking, valuation, financial statements, investor records and regulatory filings. Check whether the closure changes the fund’s tax-incentive or regulatory position rather than assuming an unchanged result. Record who will monitor any conditions that continue to apply.

Formal dissolution is a different project

ACRA’s sub-fund closure guidance distinguishes formal closure routes and their requirements. If the actual objective is to end the sub-fund, assemble its assets, liabilities, commitments and outstanding matters for professional review. Do not describe a subscription pause as completed striking off or dissolution.

Create an implementation record

Retain the decision, approved notice, recipients and effective date. Tell the administrator how to handle money arriving after the cut-off. Reconcile pending applications before returning funds or treating them as accepted capital.

Does refusing new subscriptions end existing investments?

No. Review the continuing portfolio and investor obligations separately.

Can the administrator stop filings immediately?

Not on that decision alone. Confirm which obligations continue and the formal steps required to end them.
