If a director moves overseas but remains on the board, review the company’s resident-director position as well as its address records. Keeping a Singapore contact address does not answer where the person ordinarily resides. Plan the change before departure so the company can maintain the required local presence and practical access to decisions.

Separate the director’s role from residence
ACRA confirms that a Singapore-incorporated company must have at least one ordinarily resident director. A continuing appointment and compliance with that residence requirement are separate questions. Ask the company secretary to assess the actual board composition and relocation facts.
Example: the only locally based director relocates
A founder who has handled local board matters plans to live abroad while managing the business remotely. The company still needs to assess its resident-director position. Leaving the registered-office address and bank correspondence unchanged is not a substitute for that review.
Build a pre-departure record
- The full board list and each director’s actual circumstances.
- Departure date, expected overseas residence and any return plans.
- Residential and contact-address details requiring update.
- Any work-pass or other status changes affecting the assessment.
- The constitution, signing authorities and bank mandates.
- A plan for urgent decisions and delivery of official correspondence.
Do not wait for a rejected transaction to discover that the company’s records and operating assumptions differ.
Update the correct records through the correct route
Have the secretary identify the particulars that changed, effective dates and applicable notification process. Government-sourced details and separately maintained company information may update differently. Retain the submission and confirmed outcome, then check relevant company extracts.
Make remote governance practical
Agree how papers will reach directors, how meetings and approvals will be handled, and who can deal with urgent local requests. Check the constitution and the relevant document’s execution requirements rather than assuming every scanned signature or informal message is sufficient.
Review tax and immigration consequences independently
A residence-related company filing does not determine personal tax residence, corporate tax residence or permission to work. Give the relevant advisers the same factual chronology so their advice does not rest on inconsistent assumptions.
Can a Singapore mailing address prove ordinary residence?
No. The company must assess the person’s actual circumstances, not just the address used for correspondence.
Does the director necessarily have to resign?
Not simply because of an overseas move. Check continuing eligibility, the local-residence requirement and the company’s arrangements.
