A Director Resigns but Remains a Contract Guarantor: Review the Release Separately

Two people reviewing documents at a table

A director who resigns should check any personal guarantees separately. The corporate change and the creditor’s contractual rights can follow different processes. Do not describe the guarantee as discharged solely because the director no longer appears on the board.

Start with the actual guarantee and facility documents. Obtain legal advice on their wording, amendments and any written release.

Build a guarantee register for the departing person

List each creditor, borrower, facility and security document. Include supplier-credit arrangements and leases as well as bank loans where relevant. Record the signing capacity and keep the complete executed terms, rather than just the signature page.

Separate a guarantee from an indemnity or another personal promise. Similar commercial language can conceal different obligations.

Example: the replacement director signs a new guarantee

A replacement gives the lender their own guarantee after the board change. That does not itself establish that the departing guarantor has been released. Request the lender’s actual position and review any release conditions before relying on the replacement.

Reconstruct the outstanding exposure

A balance shown as zero on one date may not answer whether future drawings or contingent amounts remain covered. Ask advisers to distinguish payment, cancellation of a facility and contractual release.

Separate the corporate resignation file

Apply ACRA’s director resignation requirements and retain evidence of the valid corporate change. Keep that file alongside the guarantee review, with different completion criteria for each.

Do not alter the resignation date to make a guarantee appear to have ended sooner. Explain the actual chronology if a creditor’s records still show the former director.

Resolve founder promises and deposits on their own terms

A shareholder may promise to reimburse or protect the former director. Review the enforceability and practical recovery of that promise separately from what the creditor can claim. A private promise is not necessarily the creditor’s agreement to discharge its security.

If a demand arrives, preserve its service details and obtain prompt legal advice. Resignation should not be used as a reason to ignore a contractual or court deadline.

What proves a release?

The actual agreement and creditor’s documented discharge, interpreted with the relevant terms. A changed company profile alone is insufficient.
