If a due-diligence pack still names a former director, establish whether it was accurate when issued or was wrong from the outset. Obtain current records and explain the relevant effective dates. Do not overwrite history or assume that replacing a certificate of incumbency alone changes a bank mandate or validates a signature.

Define the question the recipient is asking
A bank may need the current board, an investor may need authority for a proposed transaction, and a lawyer may need to know who held office when an earlier agreement was signed. Ask for the required reference date before ordering or certifying documents.
Example: an appointment changes after the pack is issued
A company sends a pack in September. A director leaves in October, but the same PDF is reused for a later transaction. The old document may describe the September position correctly while being unsuitable as current evidence. Label the dates clearly rather than pretending the former director never held office.
Use current official information appropriately
ACRA lists its information products, including Business Profiles containing entity and position-holder information. Check the product, issue date and relevant details. A privately prepared certificate of incumbency is not the same document as an ACRA Business Profile.
Reconcile the evidence before refreshing the pack
- Current company name and UEN.
- Appointment and cessation documents and effective dates.
- Filing confirmation and current official extract.
- The recipient’s requested reference date.
- Any board approval or delegation for the transaction.
- Bank mandates, powers of attorney and other separate authorities.
Explain any unresolved mismatch to the adviser or recipient. An updated cover page should not conceal contradictory underlying documents.
Check signing authority separately
Holding office does not necessarily prove that a person can sign every transaction alone. Review the constitution, relevant resolutions and the document’s execution requirements. Equally, departure from the board may not automatically end every separate mandate or power. Identify and update those arrangements on their own terms.
Retain version control
Keep the old pack, replacement, preparation date and distribution list. Tell recipients which version replaces the current-reference material. Where historical evidence is needed, provide an accurate chronology rather than only the latest board list.
Is an older document automatically false?
No. It may accurately state the position at its issue date but be unsuitable for a current request.
Does a new pack update the bank’s mandate?
No. Complete and verify the bank’s separate process where required.
