Financial Statements Arrive After Five Months: Recheck the Planned AGM Exemption

Calculator and financial papers in a folder

If financial statements are not ready within the planned circulation period, recheck the company’s AGM position before relying on an exemption. The reason for a delay does not itself establish that the legal conditions have been met.

Use the actual dates and company circumstances, not a calendar label inherited from last year.

Identify the intended exemption basis

ACRA’s guidance includes an exemption for private companies that send financial statements to all members within five months after FYE. Assess whether the company met that condition or relies on another lawful basis.

Do not assume an auditor’s delay automatically extends the period. Review any dispensing arrangement or other relevant position with advisers.

Example: a draft was circulated on time

The company emailed draft figures within five months, but the final statements followed later. Identify precisely what was sent and obtain advice before describing the earlier draft as satisfying the requirement.

Prepare the outstanding-work schedule

Make responsibility clear for each remaining task. A completed audit and completed shareholder process are separate milestones.

Review remaining deadlines promptly

Ask the secretary and legal advisers what meeting, circulation or other action is now required. If an extension route is relevant, assess it before the applicable deadline.

Do not wait until the annual return form is open to discover that the planned declaration lacks support.

Retain an honest chronology

Keep the final documents, actual circulation evidence, meeting records and official filing outcomes. Do not backdate an email, approval or meeting to make the timeline appear compliant.

For the next period, set earlier accounting and audit targets and escalate delays while there is still time to act.

Does sending draft accounts always satisfy the exemption?

Do not assume so. Review the actual documents and requirements.

Does a late audit remove the annual return requirement?

No. Assess each outstanding obligation and its proper response.
