If a shareholder requests a meeting when the company expects an AGM exemption, review the request immediately. Do not reject it solely because the company is private or its accounts were circulated.

ACRA’s AGM guidance sets out member safeguards alongside exemptions and dispensing arrangements. Different requests can involve different clocks.
Identify which request has arrived
ACRA describes a member’s AGM request made up to 14 days before the six-month FYE deadline, with the AGM to be held within six months after FYE.
It also describes a member or auditor request within 14 days after receipt of financial statements, requiring a general meeting within 14 days of the request. Assess the applicable route and actual facts with the secretary or legal advisers.
Example: the accounts were just received
A shareholder responds to the circulated statements with a meeting request. Preserve both messages and the statement version. Do not assume the only relevant date is the company’s usual annual filing deadline.
Build the response file
- Request wording, sender and receipt evidence.
- FYE and the claimed exemption or dispensing basis.
- Financial-statement circulation and receipt dates.
- Member and auditor details relevant to the request.
- Applicable meeting process and proposed date.
- Advice, notices and completed meeting records.
Clarify an ambiguous request promptly without assuming that asking for clarification suspends a legal deadline.
Plan a valid meeting process
Review notice, attendance and other requirements under the governing documents and law. Arrange the financial information needed so the meeting can address its proper business.
If more time may be needed, obtain advice on the relevant application and its timing. A planned application is not an approved extension.
Keep the annual filing declaration consistent
The secretary should review what actually happened before stating the AGM position in the annual return. Retain the request, notices, decision records and official outcomes together.
Where shareholders disagree, legal advice can help separate compliance requirements from the underlying commercial dispute.
Can the company ignore a request because accounts were sent?
No. Assess the relevant statutory safeguard.
Do all meeting requests have the same deadline?
No. Identify the actual request and route.
