A Shareholder Becomes Incapacitated During an Urgent Funding Decision: Verify Voting Authority

Two people reviewing documents at a table

Shareholder incapacity can interrupt an urgent funding decision, but a spouse or relative does not automatically become entitled to make the shareholder’s decisions. Establish who has lawful authority, what that authority covers and which company approvals the proposed funding actually requires.

Identify the decision before looking for a signature

Does the company need a board decision, a shareholder resolution, an individual pre-emption waiver or a personal commitment to lend money? These are different acts. Read the constitution, shareholders’ agreement and proposed financing documents with advisers. Do not assume every cash-flow problem requires every shareholder to sign.

Record the urgent payment dates and available cash. Give the adviser a clear description of the proposed solution, including whether it involves a loan, new shares or security. That helps distinguish a genuine approval requirement from an investor’s commercial preference.

Verify the representative’s actual authority

MoneySense’s Lasting Power of Attorney guidance explains that family members do not automatically gain decision-making rights when someone loses mental capacity. An LPA can address property and affairs, while a court-appointed deputy may be needed where appropriate authority is absent.

Obtain the actual instrument or court order, not just a relative’s account of it. Ask the lawyer to check its scope, applicable conditions and whether the proposed act is authorised. A document covering personal welfare should not be assumed to authorise a share transaction.

Separate shareholder rights from a board role

If the shareholder is also a director, flag that separately. Do not assume that someone authorised to manage the person’s property can automatically exercise the person’s director functions. The company’s board composition, quorum and decision process need their own review.

Our guide to the death of a sole director and shareholder addresses a different continuity event. Incapacity is not death, and probate or inheritance procedures should not be used as a substitute for the appropriate incapacity authority.

Preserve the ownership record while assessing options

Do not change the shareholder’s name in the register to that of a spouse merely to make a funding document easier to sign. Our share transmission on death guide concerns another legal basis for dealing with shares; an incapacity situation needs its own documents and analysis.

For example, a shareholder cannot review an urgent rights issue and a relative offers to sign the waiver. The company should verify whether that person can make this particular decision. A family relationship and an impending payment date do not establish the answer.

Discuss realistic interim routes

These are questions for review, not guaranteed alternatives. Preserve existing rights and avoid informal dilution or purported waivers. Prepare the cap table, constitution, agreements, authority documents, relevant medical or capacity evidence available through proper channels and a dated funding timetable for the lawyer.
