Filing a VCC Annual Return, Step by Step

Two people reviewing documents at a table

A VCC annual return is filed through the VCC eServices portal, not through Bizfile. You log in with Corppass, open eServices, choose Annual Filing, select Annual Return by VCC, attach the audited accounts, declare the AGM details and pay $1,600. The register updates immediately on successful submission.

The filing itself takes minutes. The preparation does not. Almost everything that goes wrong with a VCC annual return goes wrong before anyone opens the portal: stale officer particulars, a sub-fund whose accounts are not finalised, a set of financial statements signed by the wrong number of directors.

So this walkthrough is deliberately front-loaded. Get the four preparation blocks right and the submission is a formality.

Who may file, and where from

Appointed VCC officers file the return. In practice that means a director or the company secretary. A registered corporate service provider may also file on the VCC’s behalf, and most fund structures use one, because the VCC portal is a different system from the Bizfile platform that ordinary company officers know their way around.

Whoever files needs Corppass access to the VCC. That is a separate set-up exercise, handled by the entity’s Corppass administrator, and it is not something to discover in the last week before a deadline. If nobody has ever logged in, start there: our guide to setting up Corppass for a new company covers the administrator appointment and the e-service assignment that follows.

Block one: check the particulars before you file anything

The annual return is a declaration of the VCC’s current particulars. It is not a correction mechanism. Filing a return on top of out of date information does not fix the information, and it puts your signature under a declaration that is not accurate.

Check and, where necessary, update first:

Each of those has its own update transaction. Run them before the annual return, not with it. If a director resigned eight months ago and the cessation was never filed, that is a separate late filing with its own consequences, and the fix is to file the cessation first.

Block two: assemble the document pack

Everything attached to the annual return goes in as PDF. The governing principle is that what you file must be what the members received. Substituting a later, tidier version of the accounts after the meeting is not an option.

Document Required for Note
Financial statements of the VCC Every VCC Audited, and consolidated where the VCC is a parent
Financial statements for each sub-fund Umbrella VCCs One set per sub-fund
Statement by directors Every VCC Content is set out in the Second Schedule to the VCC Act 2018
Auditor’s report Every VCC Accompanies the financial statements under section 105(2)

Section 105(1) of the Variable Capital Companies Act 2018 requires the audited financial statements and the auditor’s report to be sent to everyone entitled to notice of general meetings: at least 14 days before the meeting where one is held, or not later than five months after the financial year end where the VCC has dispensed with the meeting under section 78(1)(a). Those are the documents that then get filed.

Who signs, and how many

The signing rule scales with the board. Where the VCC has one director, that director signs all the submitted documents. Where it has more than one, at least two directors must sign all of them.

“All of them” is the part that gets missed. It is not enough for two directors to sign the directors’ statement while the financial statements carry one signature. Check the whole pack before it is scanned, because a re-signing exercise across a board spread over three time zones is not a same-day job.

Block three: the declarations you will be asked to make

Two declarations sit inside the form and both need a decision made in advance.

AGM details. You must declare these whether you held a meeting, were exempt, or dispensed with holding one. If a meeting was held, you give the date. This field is where the compliance record is created: declaring a meeting date outside the six month window under section 77(1) is, in substance, telling the Registrar the VCC was late. Declare it accurately anyway, and know what follows. The consequences are set out in our note on VCC AGM penalties and enforcement.

Investment strategy. You update the investment strategy of the VCC and of each sub-fund. For an umbrella with several sub-funds this is a real drafting task, not a tick box, and it is worth checking that what you file matches what the offering documents and the manager’s own regulatory filings say. Inconsistency between the two is the sort of thing that surfaces later at an inconvenient moment.

Block four: the filing itself

  1. Confirm the sequencing condition is met. The return may only be lodged after the AGM, or where no meeting was held, after the section 105 documents have been sent to members. Our guide to VCC annual return deadlines explains how that window is computed.
  2. Open VCC eServices and log in with Corppass.
  3. Select eServices, then Annual Filing.
  4. Select Annual Return by VCC.
  5. Identify the VCC by its Unique Entity Number.
  6. Work through the particulars screens, confirming VCC type, registered office, business activities, officers, manager and sub-fund details.
  7. Enter the AGM details and the investment strategy for the VCC and for each sub-fund.
  8. Upload the PDF document pack.
  9. Review every screen before you submit. There is no informal amendment route afterwards.
  10. Submit and pay the $1,600 filing fee.

Records update immediately once the submission goes through. If payment fails at the last step, the filing has not been made, and the deadline does not care that you tried. Our note on paying ACRA fees, failed payments and receipts covers what to do when a card is declined at the worst possible moment.

What it costs

Item Amount
Annual return filing fee $1,600
Late lodgement penalty, up to three months late $300
Late lodgement penalty, more than three months late $600
Extension of time application, non-refundable $200

The $1,600 is materially higher than the annual return fee for an ordinary Singapore private company, and it reflects what is being lodged: a full set of audited financial statements for the umbrella and for every sub-fund. Treat it as a fixed annual cost of the structure, budgeted alongside audit and fund administration.

After you file

Download the free business profile within 30 days. A successful filing entitles the VCC to a free electronic business profile. The free copy expires after 30 days. It is the cleanest evidence that the filing went through, so save it to the compliance file rather than to somebody’s downloads folder. Our note on using Bizfile transaction history as an audit trail explains how to reconstruct what was filed and when if you ever need to prove it.

File the tax return separately. The annual return is an ACRA filing and says nothing to IRAS. The VCC still has to file its corporate income tax return, and a dormant VCC still has filing obligations unless IRAS has granted a waiver. The IRAS guidance on Form C-S and Form C-form-c-filing/overview-of-form-c-s-form-c-s-(lite)-form-c) sets out which form applies.

Watch for a members’ requisition. Where a VCC did not hold an AGM and members holding at least 10% of the paid-up voting shares later require one under section 78(4), and that meeting happens after the annual return has already been lodged, section 97(5) requires the VCC to lodge notice of the meeting date within 14 days after it is held. It is a small filing and an easy one to forget.

If more than one year is outstanding

Where a VCC has not filed for more than one financial year, all the overdue returns have to be filed, starting with the earliest and working forward. There is no consolidated catch-up filing and no shortcut. Each late year carries its own late lodgement penalty, and each is a separate breach for enforcement purposes.

What goes wrong in practice

The particulars are corrected inside the annual return instead of before it. The annual return declares the position. It does not amend the register. Update transactions come first.

One sub-fund is not ready. The umbrella cannot file until every sub-fund’s audited accounts exist. Track each sub-fund separately in the audit plan rather than as a single line called “the audit”.

The accounts filed are not the accounts the members saw. A post-meeting correction creates a mismatch between what was laid or circulated and what was lodged. If the accounts have to change materially after the meeting, that is a conversation with the auditor and the corporate secretary before anything is uploaded.

The pack comes back for signatures. Two directors must sign everything where there is more than one director. Discovering a single-signature financial statement on filing day costs days, not minutes.

Nobody has Corppass. The officer who used to file has left, the Corppass administrator role went with them, and the reassignment takes longer than the week remaining. Check portal access at the start of the audit, not the end.

The filing is treated as the end of the year. It is an ACRA filing. Tax, the manager’s own MAS obligations and, for umbrella structures, sub-fund level reporting all continue independently. Our analysis of the MAS valuation and risk management papers and VCC sub-funds covers the area that most often collides with the audit timetable.

Frequently asked questions

Where do I file a VCC annual return?
Through the VCC eServices portal, which is separate from the Bizfile platform used by ordinary Singapore companies. Log in with Corppass, then select eServices, Annual Filing, and Annual Return by VCC. Appointed officers such as directors and the company secretary may file, as may a registered corporate service provider acting for the VCC.

What documents must be attached to a VCC annual return?
In PDF: the VCC’s audited financial statements, consolidated where the VCC is a parent, financial statements for each sub-fund where the VCC is an umbrella, the statement by directors and the auditor’s report. They must be the same documents presented at the AGM, or sent to members where no meeting was held.

How many directors must sign the documents?
If the VCC has a single director, that director signs everything submitted. If it has more than one, at least two directors must sign all the submitted documents. The requirement applies to the whole pack, not only to the directors’ statement.

How much is the VCC annual return filing fee?
$1,600. Late lodgement adds $300 where the return is filed up to three months after the deadline and $600 where it is more than three months late, applied automatically at submission. An extension of time application, if you need one, costs a further $200 and is not refundable.

How long does the filing take to take effect?
The VCC’s records update immediately once the submission is successful. There is no processing queue for the annual return itself, which is why a payment failure at the final step matters: until payment goes through, nothing has been filed.

What if my VCC has several years outstanding?
File them all, starting with the earliest financial year and working forward. Each year is filed using the same process and each attracts its own late lodgement penalty. Bringing the record current promptly also matters because repeated filing offences feed the five year director disqualification test.

Making the filing the easy part

A VCC annual return is a short form sitting on top of a long list of preconditions. When it goes badly, it is almost never the portal. It is a sub-fund valuation that ran late, a director who never filed a change of address, or a signature page that came back with one name on it.

Raffles Corporate Services runs the whole sequence for VCCs and their sub-funds: the particulars check months ahead of the deadline, the signature pack, the portal submission and the post-filing record. If you have inherited a VCC whose filing history you are not sure about, a review of what ACRA currently holds is a short exercise and usually a cheap one.

For the surrounding framework, see what a VCC is and who it suits and how to register a VCC. If the deadline is close, read applying for an extension of time for a VCC annual return before it passes. The statute is the Variable Capital Companies Act 2018, and ACRA’s own procedural page on the steps to file a VCC annual return carries the current fee.
