Your variable capital company is registered. The next deadlines start running immediately: sub-funds must be registered within seven days of formation, an auditor within three months, and a company secretary within six months. None of these wait for your first investor.
Raffles Corporate Services works with a panel of experienced Singapore law firms who offer cost-effective and efficient legal service and advice. This article is general information only and is not legal advice.
This is the part of VCC life that founders consistently underestimate. Registration feels like the finish line because it involved the most work: the name, the constitution, the fit and proper assessments, the fund manager arrangements. In reality it is the start of a compliance calendar that runs continuously and carries criminal liability for officers who let it slip.
Here is the whole sequence, in the order the clock actually runs, with the statutory hook for each item so you can check the position yourself.

If you have not yet decided whether a VCC is the right vehicle at all, start with our explainer on what a VCC is and who it suits, and the mechanics in how to register a VCC.
Corppass comes first, because nothing else works without it
You cannot transact with ACRA, IRAS, CPF or MAS on behalf of the VCC until someone is set up as a Corppass administrator for the entity. You can apply one day after the Unique Entity Number is issued.
Two practical points. First, the Corppass administrator should be someone who will still be around in three years, not the person who happened to handle the incorporation. Second, the administrator has to assign digital service access for each government service separately, so being an administrator is not the same as being able to file. Our walkthrough on setting up Corppass for a new company covers the same mechanics that apply to a VCC.
VCC filings are made through the dedicated VCC Portal rather than the general Bizfile service, so check that your access covers the right service before a deadline forces the issue.
Setting up your registers
A VCC keeps its own statutory registers from day one. Three matter most.
Register of members. Section 81 of the VCC Act 2018 requires the VCC to keep a register of its members. Unlike a private company, whose electronic register of members sits with the Registrar, the VCC’s share register is kept by the VCC itself. That is a real difference in practice: nobody else is holding a backup of your shareholder record, and the register is what proves title when a redemption or transfer is disputed.
Register of controllers. VCCs sit inside the anti-money-laundering perimeter, and the beneficial ownership requirement comes through MAS rather than ACRA, in MAS Notice VCC-N01. The VCC must identify its registrable controllers and keep the register current. Enforcement in this area has been tightening across the board, as our note on tougher penalties for the controller and nominee registers sets out.
Registers of directors, secretaries, managers and auditors. Section 71 of the VCC Act applies the Companies Act 1967 machinery to these registers. Changes must be notified to the Registrar within 14 days. That window is short and it is the one most commonly blown, usually because a director resignation is agreed at a board meeting and then nobody tells the filing agent.
Registering sub-funds, if you have an umbrella VCC
Only an umbrella VCC can hold sub-funds. If you registered as a non-umbrella VCC and later decide you want sub-funds, you have to change the VCC type first and notify the Registrar within 14 days of the change. You cannot simply file a sub-fund registration and let the system sort it out.
Section 27 of the VCC Act 2018 gives you seven days after forming a sub-fund to apply to the Registrar to register it. Failure is an offence for the VCC and every officer in default, carrying a fine of up to $1,000 and a default penalty for continuing non-compliance.
The steps
- Confirm the VCC is registered as an umbrella VCC. If it is not, file the change of VCC type first.
- Choose the sub-fund name and check it against the same naming rules ACRA applies to entity names. Names that suggest a regulated activity or duplicate an existing registration will be queried.
- Fix the date of formation. This is the date that starts the seven-day clock, so agree it at board level and record it, rather than backfilling it later.
- Submit the sub-fund registration transaction through the VCC Portal, with the prescribed information and fee.
- Allow roughly three working days for processing, longer if another agency needs to review it.
- File the notice of registration and the sub-fund registration number with your fund administrator so the segregated accounting is set up correctly from the first transaction.
If you re-domiciled a foreign umbrella fund into Singapore, the existing sub-funds must be registered at the point of the VCC’s registration rather than seven days later. Plan the sub-fund paperwork as part of the transfer application, not as a follow-up.
The other end of the sub-fund lifecycle carries its own rules on segregation and creditor protection. Our guide on winding up or dissolving a VCC sub-fund covers what happens when a strategy is closed.
Appointing your auditor and secretary
Auditor: three months. Section 107 of the VCC Act applies section 205 of the Companies Act 1967, which requires the first auditor to be appointed within three months of incorporation. There is no small-entity audit exemption for a VCC. Every VCC is audited, every year, by a Singapore public accountant. Budget for it from the start, because it is the single largest recurring compliance cost of the structure.
Company secretary: six months. Section 69 applies section 171 of the Companies Act 1967. The office cannot sit vacant beyond six months, and the person appointed must be ordinarily resident in Singapore.
Both appointments matter more than the tick-box suggests. The auditor’s report is the document that has to accompany the financial statements sent to members, and the secretary is the person who actually notices that an annual general meeting is due. On that, see our companion pieces on holding AGMs for VCCs and the exact AGM due date arithmetic.
Before you take in any money
Three items sit outside ACRA’s remit and get forgotten because of it.
CPF submission number. If the VCC will employ anyone in Singapore, including a local director on payroll, you need a CPF submission number before the first contribution month. Apply through the CPF Board.
Data protection officer. Every organisation in Singapore must appoint at least one data protection officer under the Personal Data Protection Act 2012, and register the contact details. A fund vehicle handling investor identity documents is squarely within scope. If investor data moves offshore to an administrator or manager, read our note on the PDPA transfer limitation rules before the first data transfer, not after.
Tax. A VCC is treated as a company for income tax purposes, and an umbrella VCC files a single corporate tax return covering its sub-funds. Separately, consider whether the VCC crosses the GST registration threshold or should register voluntarily: see GST registration, compulsory versus voluntary. Stamp duty has its own VCC-specific treatment on the IRAS site.
What actually goes wrong
The sub-fund that traded before it was registered. A strategy is launched, capital is allocated, and the sub-fund registration is filed a month later when someone reviews the file. The seven-day window under section 27 has gone, and the harder problem is that the segregation of assets and liabilities that makes a sub-fund worth having depends on the sub-fund existing as a registered thing. Investors’ counsel will ask about the gap in due diligence.
The financial year end nobody chose deliberately. Your first financial year end is fixed at registration, and it drives every downstream deadline: the AGM date, the annual return, the audit timetable and your Singapore tax basis period. Changing it later is possible but constrained. The same logic we set out for companies in changing your financial year end applies here, and the cost of getting it wrong is higher because the audit is mandatory.
The 14-day officer window treated as a month. Directors change, the board minute is signed, and the filing follows whenever the agent gets to it. Late filings attract penalties per transaction, and a pattern of them is visible to anyone who searches the entity.
Assuming ACRA is the only regulator. VCCs sit under both ACRA and MAS. Fund-level obligations, valuation practice and risk management expectations come from MAS, as our note on the MAS valuation and risk management papers and what they mean for VCC sub-funds explains. An ACRA-clean VCC can still be a MAS problem.
Frequently asked questions
Do I need to appoint an auditor if my VCC has not started investing?
Yes. The three-month appointment requirement applies from registration, not from first investment, and a VCC has no audit exemption regardless of size or activity. A dormant VCC still produces audited financial statements each financial year.
Can I register a sub-fund under a non-umbrella VCC?
No. Sub-funds exist only under umbrella VCCs. If you registered as a non-umbrella VCC, you must change the VCC type and notify the Registrar within 14 days of the change before any sub-fund registration can be accepted.
How long do I have to file proof of de-registration if I re-domiciled into Singapore?
Sixty days from approval of the transfer of registration. If you cannot meet it, apply for an extension before the deadline passes. The Registrar can cancel the Singapore registration if the proof is never provided.
Who keeps the VCC’s register of members?
The VCC itself, under section 81 of the VCC Act 2018. This is different from a Singapore private company, where the Registrar’s electronic register is the legal register. In practice the fund administrator usually maintains it, but the legal obligation stays with the VCC.
Does an umbrella VCC file a separate tax return for each sub-fund?
No. The umbrella VCC files as a single entity for Singapore corporate income tax, even though the assets and liabilities of each sub-fund are segregated for legal purposes. Fund-level tax incentives and GST recovery are assessed on their own rules.
Getting the first six months right
Most VCC compliance failures are calendar failures, not judgement failures. The rules are not hard. They are simply spread across ACRA, MAS, IRAS, CPF and the PDPC, with different clocks, and nobody inside a newly launched fund owns all of them.
That is the job we take on. Raffles Corporate Services sets up the register pack, files the sub-fund registrations inside the seven-day window, tracks the auditor and secretary appointment dates, and keeps the annual calendar running so the first AGM and annual return are booked before they are urgent. If your VCC was registered in the last few months and you are not certain which clocks are already running, that is a short review and usually a quick fix.
